Purpose of Role :
We’re hiring a Full-time Corporate Paralegal for our Healthcare Practice Group in our Roseland, NJ office. If you have a strong work ethic, excel in problem-solving, and thrive in a fast-paced environment, this role is ideal for you. You will play a pivotal role in supporting our healthcare team, ensuring meticulous preparation of legal documents, and facilitating seamless operations across various responsibilities, from transactional closings to entity formations and regulatory compliance.
Responsibilities :
- Assist in the preparation and filing of corporate documents, including UCC Financing Statements, Articles of Incorporation / Organization, bylaws, operating agreements, and annual reports.
- Support corporate attorneys in handling healthcare mergers and acquisitions (M&A), joint ventures, affiliations, corporate restructurings, and dissolutions in compliance with healthcare regulations.
- Conduct due diligence for corporate healthcare transactions, including reviewing business licenses, Medicare / Medicaid enrollment, Stark Law and Anti-Kickback Statute compliance, and state-specific healthcare licensing requirements.
- Assist with healthcare entity formations, state licensing, and regulatory filings, including applications with the Department of Health, CMS, and state professional boards.
- Coordinate with clients, attorneys, and healthcare regulatory bodies to ensure timely processing of legal documents.
- Maintain and organize corporate minute books, stock certificates, professional entity records, and healthcare governance documents.
- Prepare and review healthcare-related contracts, including employment agreements, management services agreements, operating agreements, and business associate agreements (BAAs).
- Conduct legal research and compile information related to healthcare compliance, HIPAA, Stark Law, and Anti-Kickback Statute regulations.
- Manage data rooms, track case progress for corporate transactions, and assist in closing healthcare-related deals.
- Assist in client correspondence, notarization, and document execution, ensuring compliance with state and federal healthcare regulations.
- Utilize MS Office Suite and other tools for document preparation, presentations, and case management.
- Maintain filing systems and handle confidential healthcare compliance information with professionalism.
