Position Summary:
This role will coordinate all SEC financial filings, will be responsible for maintaining the Company's Sarbanes-Oxley compliance program, will provide technical accounting support, manage the Company's stock administration, and participate in other ad hoc projects, as needed. This position reports to the Vice President, Corporate Controller.
Essential duties and key job responsibilities and essential functions.
- Partner with the VP, Corporate Controller in ensuring the financial statements are consistent with U.S. GAAP and SEC rules, including newly issued and emerging pronouncements.
- Prepare the consolidated financial statements and footnotes to the annual report (10-K), quarterly report (10-Q), and financial information related to the quarterly press releases, including all relevant support.
- Lead or partner with the VP, Corporate Controller in providing technical accounting leadership on significant accounting transactions and SEC reporting preparation.
- Stay current on technical guidance relevant to the biotech industry.
- Prepare white papers summarizing technical accounting issues, application of accounting guidance to the company, alternatives available, and recommendations on an as-needed basis.
- Coordinate with external auditors, legal teams, and internal stakeholders to ensure accurate and timely reporting.
- Coordinate and manage documentation and testing of internal controls related to all financial processes to ensure SOX 404 compliance. Work closely with accounting team, internal audit and external auditors to address control deficiencies.
- Implement and maintain accounting policies and procedures to ensure compliance with evolving regulatory requirements.
- Participate as a team member in the design and implementation of an ERP system in the context of IT-dependent SOX controls related to areas of responsibilities.
- Maintain and manage the stock administration function.
- Responsible for the maintenance and integrity of MannKind’s stock and options data and plans in equity management system.
- Prepare the stock-based compensation journal entries.
- Ensure the integrity of the stock and option award activity between MannKind, the broker, and the transfer agent.
- Assist General Counsel in the timely reporting and preparation of all required Directors' and Officers' compliance and reporting, including Section 16 compliance (Form 3, 4, and 5), related proxy reporting requirements, and ownership tracking.
- Act as a trusted partner and colleague to the organization.
- Ensures compliance with corporate policies and procedures.
Education and Experience Qualifications:
- BS/BA in Accounting with 12-14 years of related experience or MS/MBA with 11-12 years of experience or the equivalent combination of training and experience
- Minimum of 8 years of accounting and reporting experience, with at least 3 years of public accounting experience, preferably with a Big 4 firm serving publicly traded companies.
- Candidates in existing SEC reporting roles are welcome to apply. CPA required.
- Strong financial reporting and accounting skills and knowledge.
- Significant SEC reporting/compliance experience.
- Life science/biotech experience a plus.
- Strong communication skills, including the ability to articulate accounting rules and conventions in the context of our business needs.
