Premier Medical Resources is looking for a Contract Paralegal to join our team!
The Contract Paralegal is responsible for vendors’ contracts, working closely with contracting managers and the legal department to review, redline, analyze, and draft summaries to ensure compliance with state, federal laws, and company best practices.
ESSENTIAL FUNCTIONS:
- Review contracts to ensure they comply with legal standards and organizational policies
- Ensure the terms and conditions align with the client's interests and the law
- Assist in drafting, editing, and proofreading contracts
- Assist in risk assessments by highlighting potential risks in contract terms, such as termination clauses, liabilities, indemnities, etc.
- Research and analyze existing third-party agreements to determine content and assess proper integration of prior documents into new documents
- Assist in negotiations by preparing documents, preparing summaries of proposed changes, or drafting amendments to existing contracts
- Conduct redlines review of proposed agreements of low to moderate complexity, including the drafting of nonstandard commercial and legal terms
- Conduct legal research to find precedents, relevant laws, or regulations that may impact contract negotiations or the terms of an agreement
- Stay updated on changes in law that may affect contract drafting and terms
- Ensure proper execution and storage of signed contracts
- Organize and maintain electronic and physical files, track and update contract statuses
- Maintain and manage the lifecycle of contracts from creation through expiration or renewal
- Schedule and maintain the calendar for any pertinent deadlines and/or meetings
- Handle administrative duties such as scheduling meetings, coordinating contract execution, and following up on
- Maintain strict confidentiality when handling sensitive contract information
- Perform other related tasks as needed
KNOWLEDGE, SKILLS, AND ABILITIES:
- Ability to proofread and edit contracts to ensure accuracy and clarity
- Strong writing skills to draft clear and concise contracts and amendments
- Demonstrate fluency in Microsoft Office 365 Suite, PDF document management and other electronic applications
- Awareness of state and federal laws that affect contracts
- Ability to work independently without supervision, perform research tasks, demonstrates consistent responsibility
- Detail oriented with the ability to track daily interactions across all business relationships, including deadlines for
- Ability to manage time working in a high-paced dynamic work environment
- Ability to multitask and manage several projects, support multiple clients, handle multiple contracts and tasks
- Understands key contract principles (e.g., offer, acceptance, consideration, and breach of contract)
- Knowledge of contract negotiation and modification processes
- Familiarity with compliance procedures (e.g., ensuring contracts meet relevant standards, laws, and company
EDUCATION AND EXPERIENCE:
- Associate’s Degree, or
- Certificate in paralegal studies
- Two (2) years of experience reviewing, analyzing, drafting and negotiating contracts
