This role is ideal for an attorney with 8-10 years of experience, preferably with a strong background in commercial real estate transactions, corporate law, and regulatory compliance. As a key legal advisor, the Corporate Counsel – Compliance will work closely with senior leadership, internal stakeholders, and external counsel to support the company’s growth while ensuring compliance with applicable laws and regulations, reporting directly to the Deputy General Counsel – Compliance.At Matthews, we empower our clients to achieve their investment goals. The ideal candidate for this role will be motivated and comfortable working in a fast-paced, high-energy environment with first-hand experience in-house in a real estate brokerage or other highly regulated and fast paced industries.Responsibilities : Commercial Real Estate Transactions –Draft, review, and assist with negotiations of real estate transaction agreements such as listing agreements, representation agreements, commission agreements, agency disclosures and agreements, and othersCorporate Governance and Compliance –Advise on corporate governance matters including policies, procedures, and manualsEnsure compliance with state and federal laws and regulationsContract Management –Draft, review, and assist with negotiations of a variety of contracts including vendor agreements, service agreements, and partnership agreementsManage the company’s contract database and implement best practices for contract administrationEmployment –Support management and human resources with employment matters, including drafting and reviewing employment agreements, policies, and proceduresLitigation and Risk Management –Provide oversight and guidance on litigation matters, including litigation support to the General Counsel and Deputy General Counsel – Litigation as well as management of external counselIdentify potential risks and develop strategies to mitigate those risksGeneral Legal Support –Provide day-to-day legal counsel to various departments within the company, including finance, operations, marketing, human resources, and transactionsStay updated on changes in laws and regulations affecting the real estate industryRequirements : Juris doctor from an accredited law schoolLicensed in good standing to practice law in Tennessee (or be qualified to become licensed to practice law in Tennessee)8 to 10 years of relevant legal experience in a law firm and / or in-house counsel roleExcellent written and verbal communication skillsAbility to handle multiple priorities, work independently, and deliver resultsPreferred Requirements-Strong knowledge of real estate transactions, corporate governance, and regulatory complianceAt least 5 years of experience in a major law firm primarily focused on employment, corporate governance, or regulatory complianceAt least 3 to 5 years of experience in-house in the real estate brokerage or another highly regulated industryHighly organized and attentive to detailStrong litigation experience, including actual trial experience#J-18808-Ljbffr
