Position Summary:
We are seeking an experienced Corporate Paralegal to support our Corporate, Transactional, M&A, and Real Estate practice. The ideal candidate will have a strong foundation in corporate governance, entity formation, compliance, and M&A transactions, including due diligence and regulatory filings. The role includes managing all phases of transactional matters, from entity formation and due diligence to closings, filings, and post-closing support.
This role requires strong organizational skills, attention to detail, and the ability to manage transaction workflows. The candidate will work closely with attorneys, clients, and third parties to ensure seamless transaction execution.
Duties and Responsibilities:
• Assist attorneys with corporate transactions, M&A, securities filings, and private equity matters.
• Form, register, maintain, and dissolve corporations, LLCs, and other entities—including confirming name availability, obtaining EINs, filing required documents, paying taxes/fees, and maintaining minute books.
• Draft, review, and organize corporate governance documents such as operating agreements, bylaws, resolutions, and stock purchase agreements.
• Conduct due diligence for M&A and other transactions, including review of corporate records and lien/UCC searches.
• Manage all aspects of closings in M&A, real estate, financing, and other transactions—including coordinating document execution, assisting with escrow or wire logistics, finalizing signature packets, and preparing post-closing binders and filings.
• Draft and file regulatory documents for capital raises, including Form D, Form ID, and state Blue Sky filings via EDGAR and EFD platforms.
• Handle UCC filings/searches and support federal and state securities compliance.
• Coordinate with clients and attorneys to maintain corporate records and minute books; serve as a liaison on ongoing entity maintenance.
• Manage business entity filings (formations, amendments, mergers, dissolutions) and obtain certified copies, good standings, and name reservations from state agencies.
• Support real estate transactions, including title and survey review, coordination with title/escrow agents, and document preparation for acquisitions, dispositions, and leases.
• Maintain confidentiality and provide general paralegal support across practice areas as needed
Qualifications:
• 5 years of experience as a Corporate Paralegal in a mid-to-large law firm, with demonstrated experience supporting M&A, financing, and other transactional matters.
• Proven ability to manage closings and transaction workflows independently from inception through post-closing.
• Strong drafting, organizational, and research skills, with exceptional attention to detail.
• Proficiency with document management systems (e.g., NetDocuments) and transaction tracking tools.
• Ability to prioritize multiple deadlines in a fast-paced, high-volume environment.
• Team-oriented with the ability to work seamlessly across offices and digital platforms.
• Experience with client billing and time entry systems (e.g., Elite, Aderant); ability to consistently track and bill time.
Technology Proficiency:

• e-Signature Platforms: DocuSign, Adobe Sign
• Securities & Compliance: EDGAR
• Legal Research & Filings: Westlaw and corporate filing tools like EDGAR preferred.
