The Corporate Counsel serves as the company’s primary legal advisor while also functioning as a key staff member of the Strategic Initiatives Group (SIG). This dual role requires legal expertise to mitigate risk, ensure regulatory compliance, and oversee legal affairs while also contributing to the company’s strategic vision. The attorney will provide legal counsel on construction contracts, risk management, corporate governance, employment law, and regulatory matters while simultaneously supporting strategic assessments, aligning operations with corporate priorities, and enhancing business growth initiatives.

 

As part of the Strategic Initiatives Group (SIG), the Corporate Counsel will play a pivotal role in maintaining connectivity with key stakeholders, conducting legal and business assessments, and developing initiatives that align with the company’s long-term mission, workforce development, and organizational improvement.

 

OBJECTIVES OF THE POSITION

•  Ensure Legal and Regulatory Compliance – Safeguard the company against legal risks while ensuring full compliance with local, state, and federal laws.

•  Protect Company Interests – Structure and negotiate contracts, resolve disputes, and proactively address potential legal concerns.

•  Strategic Legal Support – Contribute to strategic initiatives by integrating legal perspectives into business operations, workforce planning, and process improvements.

•  Operational Risk Management – Identify and mitigate legal and operational risks through proactive policies, procedures, and compliance frameworks.

•  Enhance Business Performance – Work closely with leadership to align legal strategies with corporate goals, improving contract efficiency, reducing litigation exposure, and fostering business growth.

 

PRIMARY RESPONSIBILITIES

Legal Advisory & Compliance:

•   Provide legal counsel on all business operations, including contract law, risk management, employment law, regulatory compliance, and dispute resolution.

•   Ensure compliance with local, state, and federal regulations governing construction, labor, environmental safety, and corporate governance.

•   Maintain awareness of legal developments impacting the company and provide guidance to leadership on necessary adaptations.

•   Advise on licensing, permitting, zoning, and land use matters.

 

Contract Management & Negotiation:

•   Draft, review, and negotiate contracts, including construction agreements, subcontracts, vendor agreements, and lease agreements.

•   Ensure contracts protect the company’s financial and operational interests while mitigating risk.

•   Support project teams in contract administration, identifying potential legal issues early in project execution.

•   Work with procurement teams to negotiate and finalize supplier and vendor contracts.

 

Risk Management & Dispute Resolution:

•   Identify and assess legal risks associated with company operations and implement risk mitigation strategies.

•   Handle legal disputes, including contract claims, construction defect claims, and employment-related matters.

•   Represent the company in mediations, arbitrations, and litigation matters where applicable in compliance with state law.

•   Collaborate with external counsel for complex legal matters and litigation strategies.

 

Employment & Labor Law Compliance:

•   Provide legal guidance on employment contracts, HR policies, and labor law compliance.

•   Advise HR on hiring practices, employee disputes, workplace investigations, and terminations.

•   Ensure company compliance with OSHA, EEOC, and other workplace regulations.

•   Work closely with Insurance brokers and risk management team to ensure we have adequate Insurance and project liability insurance for all employees and projects

•   Collaborate with external counsel for complex legal matters and litigation strategies.

 

Strategic Initiatives Group (SIG) Responsibilities:

•   Support the company’s strategic vision by aligning operations, activities, and investments (OAIs) across three broad areas – Mission, People, and Organizational Improvement.

•   Conduct assessments and analyses to identify legal and business risks impacting corporate strategy.

•   Maintain connectivity with key actors, industry influencers, and legal advisors to support business positioning and competitive advantage.

•   Generate and develop initiatives that drive operational efficiency, business growth, and long-term organizational success.

•   Provide legal guidance on company investments, acquisitions, and strategic partnerships.

•   Ensure alignment of legal and business operations with corporate objectives and industry best practices.

 

CORPORATE GOVERNANCE & COMPLIANCE

•   Ensure corporate governance practices align with legal and ethical standards.

•   Assist with entity formation, mergers and acquisitions, and business expansions.

•   Support leadership in legal due diligence and risk assessments for new ventures.

 

KEY COMPETENCIES & SKILLS

•   Strong understanding of construction law, contract law, employment law, and risk management principles.

•   Excellent negotiation and contract drafting skills.

•   Strategic thinking and the ability to align legal functions with corporate priorities.

•   Strong analytical and problem-solving abilities to assess legal risks and provide sound recommendations.

•   Exceptional written and verbal communication skills to effectively convey legal and strategic concepts to stakeholders.

•   Ability to manage multiple projects, prioritize tasks, and meet tight deadlines in a fast-paced environment.

•   High ethical standards, discretion, and professionalism in handling sensitive company matters.

•   Ability to work independently while collaborating with executives, project managers, and external counsel.

 

WORK ENVIRONMENT

•   This position operates primarily remote but may require occasional travel to job sites, legal proceedings, or business meetings.

•   Travel outside the remote location and overnight stays may be required based on company needs and legal obligations.

 

POSITION TYPE/EXPECTED HOURS OF WORK

This position occasionally requires extended hours and intermittent weekend work.

 

REQUIRED EDUCATION & EXPERIENCE

•   Education:  Applicant must be a graduate of, and hold a degree from, a law school accredited by the American Bar Association at the time of the applicant’s graduation.

•   Bar Membership:  Applicant must be an active member in good standing (as defined by the pertinent bar) of the bar of a State within the United States, a territory, or the District of Columbia. The applicant must also be eligible to work as in-house counsel in the state of Texas.

•   Minimum 2-6 years of experience in construction law, contract law, or corporate legal advisory.

•   Knowledge of OSHA, Davis-Bacon Act, lien laws, and public/private construction contracts is a plus.
