Overview:
Job Summary:
This MX Holdings (“Company”) In-house Counsel will partner with and advise multiple Company business teams, with emphasis on transactional matters, including the negotiation, drafting and interpretation of complex agreements, and possible mergers and acquisitions or other strategic alliances with significant Company partners. The ability to draft complex agreements and work independently is a must. Experience dealing with a manufacturing business, a global business, or employment matters is also desired. The role will work with and report to the General Counsel and work side-by-side with Company managers and executives to advise and work on legal matters to ensure the Company has the legal protections it needs considering the risks involved.
The ideal candidate thrives in a fast-paced environment, when needed uses creativity and “thinking outside the box”, enjoys collaborating with others, has excellent communication skills (verbal and written), is proactive, a problem-solver, able to work autonomously, detail-oriented, and a self-starter.
Responsibilities:

Essential Duties and Responsibilities:

  • Provide legal advice to management on a wide variety of issues.
  • Advise on, negotiate, draft, and review all types of agreements for various transactions, including sales, services, supply, distribution, IT, manufacturing, and consulting agreements.
  • Advise the Company on transactional matters including M&A activities, e.g. oversee and manage the due diligence process, draft and review transactional documents as needed, provide support on related employment, intellectual property, regulatory issues.
  • Advise on matters or contracts related to marketing and advertising.
  • Advise on matters related to manufacturing and sales, including regulatory, quality, import/export, or other supply chain matters.
  • Advise on compliance matters.
  • Develop and advise on policies and procedures to ensure legal compliance and consistency.
  • Advise on employment issues, with the assistance of outside counsel, as appropriate.
  • Handle or manage, as appropriate, disputes, claims or litigation involving Company.
  • Work with, manage and ensure cost effective services from outside counsel.
  • Advise on other legal matters that relate to any and all aspects of the Company’s business, including changes in laws and regulations relevant to the industry and business operations.
  • Other duties as assigned.
  • Regular and reliable attendance is required.
Qualifications:
Ideal Candidate Will Have:

Education and Experience:

  • 8 to 12 years of hands-on experience in legal matters related to complex commercial transactions required. Corporate in-house law experience supporting a variety of functions strongly preferred.
  • Significant experience drafting complex contracts required. Experience either as a strong supporter of, or directly responsible for components of M&A transactions, a plus.
  • Experience handling a wide variety of legal matters and all types of contracts, along with advising a global business, desired.
  • Manufacturing industry background or experience helpful.
  • Education: Doctorate in law (J.D. or equivalent).
  • License: Licensed to practice law in Missouri (or willing to apply for admission from another state). For practice in Missouri, must be admitted pursuant to Rule 8 or Rule 8.105 of the Supreme Court Rules of the State of Missouri pursuant to Rule 4—Rules Governing the Missouri Bar and the Judiciary—Rules of Professional Conduct, Rule 4-5.5(d).

  • Communication & Negotiation: Excellent verbal and written communication skills, with the ability to influence and negotiate with both internal and external stakeholders. Excellent presentation and relationship-building skills.
  • Strategic Thinker: Ability to advise on and develop business strategies and identify solutions to complex issues.
  • Analytical: Ability to identify, evaluate and mitigate risk, along with the ability to propose business forward ideas and methodologies within legal frameworks.
  • Collaborative and Proactive: Ability to collaborate with clients from all functional areas as part of a team (not as someone who merely advises remotely), be proactive and work independently.

Our salary ranges are primarily determined by role, level, and location. The range provided for each job posting reflects the minimum and maximum target salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
