Purpose
The role of Corporate Counsel is responsible for providing general legal support on an array of topics, which may include contractual, commercial and supply chain support, M&A and due diligence support, regulatory and compliance, litigation support, corporate governance, securities law reporting, support of internal functions (e.g. finance, HR, IT, etc.), and other general corporate and special projects as assigned by senior attorneys in the Legal Department. In this role, you will provide key legal support across our operations, assist with compliance, manage risks, and contribute to the company’s growth initiatives. Responsibilities
Under the guidance and direction of the Assistant General Counsel :
- Draft, negotiate, and advise on complex commercial transactions and contracts to support business operations and growth initiatives
- Assist with M&A and joint venture transactions, including drafting, reviewing, and negotiating related documents and agreements and participating in due diligence initiatives
- Draft, negotiate, and advise on lease agreements, construction contracts, and property purchase / sale documents, working with outside counsel where appropriate
- Provide guidance on commercial dispute resolution and manage outside counsel when commercial disputes result in formal litigation
- Guide internal clients on regulatory and compliance matters, including researching, reviewing and monitoring new and updated regulations pertinent to the company
- Provide legal counsel to management on the company’s disclosure, reporting, and other obligations under the securities laws and prepare or assist in preparing periodic reports and registrations under the Securities Act of 1933 and the Securities Exchange Act of 1934
- Provide legal guidance and support related to corporate treasury and finance matters, including the establishment or renewal of credit facilities and stock repurchase programs
- Develop and implement company policies, procedures, and contract templates, and provide related training for these materials
- Ensure compliance with corporate governance requirements for domestic and international legal entities.
- Perform all other duties as assigned
