The Position
Michael Best & Friedrich LLP’s growing Corporate Practice is looking to add a Corporate Attorney with a minimum of 10 years’ experience to our Cottonwood Heights or Salt Lake City office. The attorney will serve as a business advisor to clients, guiding them in a full range of legal matters throughout their life cycle. In this role, the attorney will handle all aspects of complex transactions for clients of all sizes and across industries. The attorney will also have the opportunity to gain direct client interaction, business development experience, and significant responsibility for complex and sophisticated legal matters.
The ideal candidate will have experience in the following areas:
- Strategic counseling clients on mergers and acquisitions;
- Structuring, negotiating and integrating corporate acquisitions;
- Assisting emerging and established companies in corporate and finance matters;
- Early-stage company formation;
- Business plan review and advice;
- Working with lenders and borrowers in structuring and negotiating financial transactions;
- Drafting transaction agreements and documents;
- Negotiating deal terms alongside clients;
- Managing transaction closings and processes;
- Providing through factual and legal research and analysis;
- Overseeing more junior team members
A minimal portable book of business is preferred but not required.

The Location
The position is for either our Cottonwood Heights or Salt Lake City office. However, we have offices in Wisconsin (Milwaukee, Madison, Manitowoc, Waukesha); Illinois (Chicago); Utah (Cottonwood Heights, Salt Lake City); Colorado (Denver, Broomfield); Texas (Austin); and North Carolina (Charlotte, Raleigh, Wilmington); and Washington D.C. Job Requirements:

Knowledge Base & Education:
- J.D. from an ABA accredited law school
- Excellent academic credentials
- At least 10 years of corporate experience

- Ability to work well under pressure and meet tight deadlines
- Ability to work well independently as well as effectively within a team

For Colorado applicants only (as required by the Colorado Equal Pay Act): The starting salary for associate positions in our Denver office is $190,000. Pay is determined based on a variety of factors including, but not limited to, depth of experience in the practice area. Associates are eligible to participate in Michael Best’s associate bonus program, subject to the program’s conditions and restrictions. This position is considered full-time and is therefore eligible to participate in employer-sponsored benefits, including: medical, dental, vision, as well as elective/voluntary life, disability, and accident coverage. All full-time employees are eligible to participate in the firm's 401k plan.
