Legal Analyst / Paralegal - Real Estate Private Equity Firm
Compensation: $110K - $130K base bonus
Work Schedule: In-office, 5 days per week
Hours: 8:30 AM – 5:30 PM
POSITION OVERVIEW
A well-established real estate investment firm is seeking a highly motivated Legal Analyst to join its in-house legal team. This role will provide support across various legal functions, including corporate governance, fund administration, real estate transactions, and administrative tasks. PRIMARY RESPONSIBILITIES
Corporate Governance:
- Assist in the formation and dissolution of legal entities, maintaining an internal entity tracker, and ensuring compliance with ongoing maintenance obligations.
- Draft and review operating agreements, assignment documents, corporate resolutions, and subscription agreements.
- Prepare and maintain organizational structure charts.
- Organize and manage digital files, legal documents, and deal closing binders.
- Distribute investment documents to stakeholders and maintain investor records.
- Prepare capital call notices for investors.
Real Estate Transactions:
- Support the deal team, in-house legal team, and external counsel with transaction closings, including document coordination and due diligence review.
- Assist in the preparation and processing of bank lending applications and other financing documentation.
- Facilitate the internal review and approval of various legal agreements, such as service contracts, confidentiality agreements, and brokerage agreements.
Fund Administration:
- Assist with the intake and review of investor subscription documents.
- Collaborate with the investor relations team to support investor questionnaires and RFPs.
Operational Responsibilities:
- Work with insurance brokers and internal teams to manage insurance policies.
- Oversee document storage and records management.
- Coordinate with outside counsel to track firm litigation matters.
- Process legal invoices and maintain financial tracking for legal expenses.
REQUIRED QUALIFICATIONS:
- 3-5 years of experience as a paralegal or legal analyst, with a focus on real estate and corporate matters in a law firm or in-house setting.
- Strong understanding of real estate transactions, corporate structures, and legal documentation.
- Excellent written and verbal communication skills.
- Detail-oriented with strong organizational and process management skills.
- Ability to multitask, prioritize projects, and work independently in a fast-paced environment.
- Proficiency in Microsoft Office (Word, Excel, PowerPoint).
