JOB DESCRIPTION:
The fundamental reason this position exists is to give legal advice, ensure representation in legal proceedings, prepare legal research and legal and policy analysis of issues to and administer contracts on behalf of the Authority. The Legal Counsel is under the general direction of the General Counsel and reports to the General Counsel.
Essential Job Functions:
- Address day-to-day legal and regulatory matters, which may include oral and written communications and providing guidance to senior leadership regarding applicable laws, rules, regulations, and other risks.
- Perform research and provide recommendations to facilitate compliance with all legal obligations. Keep abreast of new legislation and important legal developments and interpret their impact.
- Draft formal responses to inquiries from federal, state, and local regulatory and law enforcement agencies.
- Work cross-functionally with other business units to advise on and support process improvement and change management, which will include development of certain policies and protocols.
- Contribute to the company-wide understanding of risk tolerance, as well as identify and mitigate risk to Company by providing informed counsel and effective solutions.
- Help set company-wide expectations, including the importance of developing and adhering to robust processes and controls, to mitigate risk/exposure.
- Understand the impact of federal contracting requirements on the business and the interplay of such requirements to other legal obligations.
- Draft, review, analyze, and negotiate legal documents and contracts with third party clients and vendors, as well as governmental entities.
- Develop and enhance protocols and processes regarding contract negotiation, stored templates, and required contract terms.
- Assign, coordinate, and follow-up with other business units regarding involvement and to ensure takeaways are promptly carried out.
- Work with other stakeholders, such as those in Government Relations, to provide input on legislative matters.
- Identify and mitigate risk to Company by providing informed counsel and effective business-oriented solutions.
JOB DETAILS:
- Work Type: Hybrid – This position requires 3 days in-office at our Chesterfield, MO location. Candidate's must live within 1 hour of the office.
- Compensation: This position offers an annual salary up to $135,000 depending on the candidate's experience, skills, and qualifications.
MINIMUM REQUIREMENTS:
- Must live within 1 hour of our Chesterfield, MO office.
- Doctor of Jurisprudence from a nationally accredited school of law and a current member in good standing in at least one state bar.
- 4 years of corporate/transactional experience with a law firm and/or an in-house legal department.
- Must be able to obtain admission to the MO bar in a timely manner if not licensed in MO
- Experience in banking and finance, as well as regulatory compliance matters. In particular, a background with consumer financial protection laws such as the FDCPA, FCRA, TILA, ECOA.
- Experience in student loan industry or consumer debt servicing and/or collections industry is a plus.
- Experience in reviewing, drafting, analyzing, and negotiating complex agreements.
- Ability to provide high-quality legal analysis, advice and litigation support.
- Ability to interact with co-workers, outside counsel, vendors in an articulate and professional manner at all times.
- Intermediate to advanced computer skills; working knowledge of Microsoft Word, PowerPoint, SharePoint.
- Knowledge of laws governing state agency or not-for-profit corporate structures is helpful, as well as experience with public entities and boards.
- Strong time-management skills and the ability to juggle several matters at one time, along with the ability to prioritize and monitor such matter
