Position Purpose: To provide executive administrative oversight and manage the daily operations of the office of the SVP General Counsel and Corporate Secretary (“SVP”), serving as the liaison for all legal matters, internal and external to the Office, which include, but not limited to, outside counsel (attorneys), litigation triaging (assignment), risk management concerns, contract matters and other paralegals. This decision-making role will conduct research, perform actuarial functions, create legal documents and coordinate budgetary affairs and office staff linked to the shared services administrative function.

Proficient with MS Office Suite and matter/contract management software skills
Essential Duties:
Provide administrative support to the SVP General Counsel and Corporate Secretary, including scheduling meetings and appointments initially.
Prepare legal documents and correspondence, including corporate governance documents and train administrative team members to serve as backup.
Conduct preliminary review of contract language and note inconsistencies with Morehouse School of Medicine standard contract terms.
Serve as the key administrative principal for the Board of Trustees
Manage all Board of Trustee meeting logistics and for special events
Draft Board resolutions and meeting minutes
Direct other administrative assistants to ensure all board meeting materials are uploaded in BoardMax
Retain copies of bylaws and the Board’s policy statements
Organize communications between offices of the president and dean, institutional advancement, marketing and communications regarding capital campaign discussions with trustees (fiduciaries)
Intake, organize, review and track legal-related documentation, by using technology that allows for an efficient and effective means to access and report sensitive data.
Administer projects on behalf of the SVP and other attorneys, such as university accreditation and reviewing enterprise risk management demands.
Monitor department project deadlines to ensure projects are on target.
Maintain the Office’s legal matter/contract management system. Intake, log and organize contracts for attorney review. Keep track of contracts from the beginning to the end of the contract review process.
Maintain an organized filing system of paper and electronic documents. Ensure that all contracts are properly organized in the contract management database.
Research relevant laws and regulations as case management load dictates
Assists with regulatory licensing and compliance matters, including assembling necessary applications for various entities and filing annual reports.
Monitors insurance programs
Updates and certify that policies are current and notifies SVP and senior attorney regarding upcoming renewals and industry changes in coverage.
Collaborates with finance pod in shared services for the Office fiscal affairs and safeguards resources using integrity and fiscal acumen
Research and provide insurance certificates

Minimum Qualifications
Bachelor’s Degree from a regionally accredited college or university with 7-10 years of experience in a legal office (Law Firm) setting
Preferred Qualifications
Paralegal Certificate is strongly desired
Prior experience working with Boards is strongly preferred
