What are the responsibilities and job description for the Paralegal/Legal Assistant position at Mountaire Farms?
Job Description
This is an exempt position that reports to the Associate General Counsel.
Principle areas of responsibilities shall include but are not limited to:
Corporate Governance Duties
Drafting notices, agendas, resolutions, minutes and other documents as needed for quarterly and annual corporate board and executive committee meetings; Maintaining and filing corporate records, including but not limited to resolutions and corporate board and executive committee meeting minutes; Coordinating and receiving board and committee signatures for documents and materials; Creating documents related to new corporate entity formations; Providing administrative support for documents and activities related to corporate restructurings, such as mergers, acquisitions, formations, and dissolutions
Contract/Document Review
Prepare and review confidentiality agreements, sales contracts, unit appreciation plan agreements, independent contractor agreements, customer guarantee letters and other agreements and documents with attorney supervision; Proficient use of Company’s document management systems in connection with review and approval of contracts; Maintain legal department project management platform in connection with contract reviews and approvals
Litigation Support
Assist and work with in-house and outside counsel on litigation matters, including but not limited to deposition scheduling, responding to discovery requests, and other litigation-related matters; Complete investigations and fact-finding for cases
Real Estate
Assist and work with in-house and outside counsel on real estate transaction closings; prepare and maintain real property spreadsheet of Company and affiliate-owned properties; prepare and maintain leased real property spreadsheet
Subpoenas and Garnishments
Route subpoenas and garnishments to appropriate individuals within the organization; assist with subpoena responses as needed
General
Provide administrative support for in-housel counsel and Chief Financial Officer; Conduct legal research and drafting as requested; Assist in-house and outside counsel with intellectual property filings and renewals as needed; Successfully complete special projects and other assignments as requested
