Role Overview
We are seeking an experienced and proactive Corporate Counsel to join our dynamic and fast-growing startup as the first in-house legal hire. In this pivotal role, you will act as a trusted legal advisor and strategic partner to the leadership team, helping to shape the legal and compliance framework as we scale. You will play a critical role in navigating legal risks, implementing best practices, and ensuring the company's compliance with laws and regulations while supporting its rapid growth and innovation.
This position requires a versatile attorney who thrives in a fast-paced environment, is comfortable with ambiguity, and has the ability to manage a wide range of legal matters independently. You’ll have the opportunity to build the company’s legal function from the ground up, including designing policies, processes, and managing external legal resources.
Example Projects
- Legal Strategy & Advisory : Provide strategic counsel to the executive team on legal implications of business decisions, corporate governance, and risk management.
- Contract Management : Draft, review, and negotiate a wide variety of agreements, including vendor, customer, partnership, employment, and confidentiality agreements.
- Corporate Governance : Draft, review, and manage corporate documents, board materials, and shareholder agreements to ensure compliance and alignment with best practices.
- Compliance & Regulatory : Monitor and ensure compliance with applicable laws and regulations, including privacy, employment, and industry-specific requirements.
- Risk Management : Identify and address potential legal risks proactively, and establish policies to mitigate them.
- Policy Development : Create and implement internal policies, processes, and training programs to support legal and regulatory compliance.
- External Counsel Management : Collaborate with and oversee external legal counsel for specialized matters or complex disputes.
- IP Protection : Partner with teams to safeguard intellectual property through patents, trademarks, and copyright protections.
- Employee Relations : Support HR with employment law matters, including contracts, policies, and dispute resolution.
