A prestigious law firm is seeking an accomplished Corporate Senior M&A Attorney for their New Jersey office with a minimum of 5 years of sophisticated experience in M&A transactions, corporate governance, or related areas, preferably in a top-tier law firm. The ideal candidate will be instrumental in advising clients on diverse M&A transactions, ensuring regulatory compliance, providing strategic legal counsel, and collaborating closely with our corporate team.
Responsibilities:
- Provide expert legal guidance to clients on a broad range of corporate and commercial matters, including business formations, governance, compliance, contracts, and transactions.
- Support and oversee the entire transaction lifecycle, from initial due diligence to post-closing integration.
- Draft, review, and negotiate key M&A-related agreements, such as purchase agreements, shareholder agreements, and merger agreements.
- Manage transaction documents and agreements, ensuring accurate record-keeping of all legal documents and correspondence.
- Work closely with clients to understand their strategic objectives and deliver tailored legal advice.
- Collaborate with internal teams and partners to provide comprehensive legal solutions to clients.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Must be Bar-admitted in NJ; NY admission is a plus.
- Minimum of 5 years of high-level corporate, commercial law, and M&A experience, preferably in a top-tier law firm.
