TEMPORARY ASSIGNMENT
FULL-TIME, FIXED-TERM POSITION EXPECTED TO LAST SIX (6) MONTHS
JOB PURPOSE:
Nikon Metrology, Inc. is seeking an experienced attorney to provide temporary legal support to our business. This is a six (6) month fixed-term role. As a temporary member of the Nikon Metrology Legal team, reporting locally to the Executive Vice President and functionally to the General Counsel of Nikon Metrology NV (HQ), you will advise, council and support Nikon Metrology’s activities with a focus on Americas. You will interact with all employees of the area and the management, for doing business complying with the legal requirements, achieving the company’s vision, missions, and objectives, acting as a “business legal engineer.”
You identify, develop, and efficiently manage various legal and compliance risks within the company in close collaboration with the Corporate Legal Department of Nikon Metrology NV (HQ). You work closely together with your colleagues from other (technical / sales, finance, HR and other) departments. As a Legal and Compliance Counsel, you also consider the commercial and technical aspects of our business.
You are responsible for leading legal initiatives and to ensure that the company always operates within the law. You are also directly involved in complex business transactions and in negotiating critical contracts.

KEY AREAS OF RESPONSIBILITY:Contract Management- Assume ultimate responsibility for ensuring that the company conducts its business in compliance with all applicable laws and regulations.
- Review, negotiate, prepare contracts with clients, partners, suppliers (Including but not limited to Non-disclosure Agreements, Terms and Conditions, and Purchasing Agreements).
- Advise on various types of transactions.
- Support sales and delivery in identification, pursuit, and acquisition of business.
- Ensure development of positive customer relationships to enhance resolution of contractual issues.
- Serve as the main point of contact/ the 'first call for help' for matters involving commercial transactions, sourcing and procurement, IP/technology licensing and portfolio enforcement, new business initiatives, employment matters, real estate and facility matters, compliance topics and corporate housekeeping.
- Prepare and deliver training / updates on key legal and compliance topics.
- Ensure business processes comply with Data Protection, Data privacy and Government regulations through conducting proactive reviews and providing clear communication towards the business.
- Ensure, and maintain strong and consistent compliance enforcement, communication, and training (anti- bribery and anti-corruption), including third-party compliance (suppliers, distributors, agents, etc.) to maximize awareness.
- Participate in decisions on strategy, commercial policy, and specific commercial transactions to ensure that legal, governance and related issues are properly understood and factored in.
- Participate in the definition and development of corporate policies, procedures and programs and provide expert and strategic legal advice to management on legal matters and on legal implications of all matters.
- As Compliance Officer set internal governance policies and manage the impact of regulations.
- Monitor and ensure compliance with applicable regulations considering the business operations of the companies within the area, including all contacts with the regulatory bodies.

- Mitigate the risks, when possible.
- Risks assessments and management in ongoing and contracted projects: assess the acceptability of overall risk level of deal and mitigating options, helping business conceive sensible steps to address risks through appropriate contract terms or contract management.
- Advise approaches to Management and/or participate in discussions and provide recommendations for resolution of dispute situations.
- Management of the litigation files together with General Counsel and company management, being the exclusive interface with the external lawyers.
- Instruct and manage external counsels as appropriate to ensure the best value and quality of service
- Be a proactive support in claim management and single point of contact with external law firms.
- Participate in the selection of and assertively manage external counsel as needed in a wide variety of legal engagements
- Support the practical delivery of legal services in the region and to track and control legal spendings.
ANCILLARY RESPONSIBILITIES
- Insurance: in close collaboration with the General Counsel, ensure compliance with and optimization of all aspects of insurances such as professional and product liability, travel insurance, infrastructure insurance, company cars insurance, group insurance, etc.
- Export Regulations: worldwide responsibility for compliance with applicable export control regulations and Nikon policies.
QUALIFICATIONS
REQUIRED KNOWLEDGE, SKILLS, AND ABILITIES:
- Juris Doctor from an accredited law school and active bar membership in Michigan
- 2-3 years of experience in commercial and contract law (including contract review and negotiation), Public procurement, IT/IP law and Privacy law.
WORKING ENVIRONMENT/PHYSICAL REQUIREMENTS
- Must be able to sit for extended periods of time.
