About this Role:
The Assistant General Counsel will provide expert legal counsel and guidance on a wide range of matters, including litigation and human resources-related matters and providing legal support to the HR department. The role also involves supporting manufacturing, product development, value stream, marketing efforts and ensuring that the Company adheres to applicable regulations, helping to mitigate legal risks, and fostering a legally sound and productive work environment.
The Assistant General Counsel will provide expert legal counsel and guidance on a wide range of matters, including litigation and human resources-related matters and providing legal support to the HR department. The role also involves supporting manufacturing, product development, value stream, marketing efforts and ensuring that the Company adheres to applicable regulations, helping to mitigate legal risks, and fostering a legally sound and productive work environment.
Additionally, this position requires litigation expertise to manage the Company’s litigation matters and oversee outside counsel. The ideal candidate will have a proven track record in representing clients in various legal disputes and a strong understanding of courtroom procedures, legal research, and advocacy.
Key Responsibilities
- Draft, review, and negotiate legal documents and contractual arrangements
- Offer legal guidance and advice to management and cross functional groups.
- Stay abreast of developments in direct selling and product categories.
- Partner with legal and compliance teams to help implement and administer the Company’s compliance programs.
- Provide support and legal counsel regarding product manufacturing and development marketing, and intellectual property.
(Human Resource Focus):
- Provide legal advice on employment-related issues, including hiring, termination, discrimination, harassment, wage and hour laws, employee classification, and worker's compensation.
- Assist in the development and implementation of workplace policies, procedures, and employee handbooks to ensure compliance with federal, state, and local labor laws.
- Draft, review, and revise employment contracts, non-disclosure agreements, severance agreements, and other HR-related legal documents.
- Manage and resolve employee disputes, including mediation, negotiations, and settlement discussions.
- Represent the Company in employment-related legal matters, including labor disputes, wrongful termination claims, wage disputes, and workplace discrimination or harassment cases.
- Advise HR and management on best practices for handling employee relations issues to minimize risk and ensure compliance with legal requirements.
- Stay up to date with the latest developments in labor and employment law and ensure the organization’s policies reflect any changes in legislation.
- Collaborate with other legal team members, HR, and executives on cross-functional legal projects, including mergers and acquisitions, restructuring, and organizational changes.
- Assist in the preparation and management of employment-related litigation, including document discovery, motions, and trial preparation.
- Conduct training sessions for HR personnel and management on key employment law topics such as discrimination, harassment prevention and wage and hour regulations.
- Represent the Company before government agencies (e.g., the Equal Employment Opportunity Commission (EEOC), the Department of Labor (DOL), or state agencies) when necessary.
(Litigation Focus):
- Manage a caseload of civil litigation matters, including commercial, contract, tort, intellectual property, and employment disputes on behalf of Company.
- Conduct legal research on case law, statutes, regulations, and precedents relevant to litigation cases.
- Coordinate with outside counsel on legal strategies and potential outcomes. Maintain clear and ongoing communication with General Counsel, Senior Counsel, and Regional Counsel (as applicable) throughout the litigation process.
- Coordinate with outside counsel on the preparation, filing, and review of pleadings, motions, complaints, discovery requests, responses, and other legal documents.
- Oversee process and coordinate with outside counsel on the discovery process, including the collection, review, and production of documents. Coordinate depositions of witnesses and experts.
- Coordinate development of trial strategies, evidence preparation, and Company representation during hearings, arbitrations, mediations, and trials.
- Support settlement negotiation and alternative dispute resolutions when appropriate.
- Coordinate with outside counsel on Company representation in court hearings, trials, mediations, and other proceedings.
- Stay updated on changes in laws, regulations, and court rules affecting litigation.
- Provide guidance to management and cross functional teams on risk mitigation.
- Develop and support implementation of guidance and policies related to litigation, risk management, and document retention.
- Work closely with other attorneys, paralegals, and legal support staff to ensure smooth case management and effective litigation strategy.
What you will need:
- Juris Doctor (JD) degree from an accredited law school in the United States.
- Active state bar license in good standing and ability to obtain House Counsel membership with the Utah State Bar
- 4 years of experience as a practicing attorney including at a law firm and/or as in-house counsel.
- Experience providing counsel regarding employment and human resources issues.
- Strong knowledge of litigation processes, court procedures, and legal documentation.
- Excellent oral and written communication skills, with the ability to effectively recognize and select suitable outside counsel to represent the Company, as necessary.
- Proven ability to manage a diverse caseload and meet deadlines.
- Strong problem-solving skills and ability to coordinate development of creative legal strategies.
- Experience with e-discovery tools and case management software is a plus.
- Exceptional client service skills with a focus on maintaining strong relationships.
- Strong Work Ethic and high ethical standards.
- Ability to identify key legal risks and structure business solutions to address those legal risks.
- Experience with alternative dispute resolution processes.
