About the Role
As corporate and securities counsel at Nuro, you will advise and lead on US corporate matters, including equity management, corporate secretary and governance matters, legal entity creation and management, financings, mergers and acquisitions, compliance, and strategic corporate development transactions. This role requires highly proficient knowledge of state corporate laws, and other applicable corporate governance laws and regulations.
About the Work
- Advise the executive leadership team on corporate governance, compliance, and Board oversight and responsibilities.
- Manage the corporate secretary function, including Board meeting calendar, preparation and sharing Board materials, agenda-setting, meeting minutes, board approvals.
- Liaise with the Board of Directors and its committees, lead investor engagement on corporate governance.
- Partner with business, finance, technical teams, and executive leadership to lead, negotiate and finalize financing transactions, mergers, acquisitions, and strategic initiatives.
- Educate on legal concepts, identify risks, develop and execute strategies to achieve the most favorable results.
- Manage and administer corporate governance rules, stock administration, equity policies, investor communication policies, and other relevant corporate policies.
About You
At Nuro, your base pay is one part of your total compensation package. For this position, the reasonably expected base pay range is between $152,000 and $228,000 for the level at which this job has been scoped. Your base pay will depend on several factors, including your experience, qualifications, education, location, and skills. In the event that you are considered for a different level, a higher or lower pay range would apply. This position is also eligible for an annual performance bonus, equity, and a competitive benefits package
