Partner – Private Equity & Venture Capital Financing
Our client, a highly respected 50-person law firm, is seeking an accomplished Partner with deep expertise in Private Equity and Venture Capital Financing . This opportunity is ideal for a seasoned attorney who thrives on working with small to medium-sized businesses as outside in-house counsel, providing strategic legal guidance and innovative solutions.
About the Role :
As a Partner, you will play a critical role in advising clients on legal matters related to Private Equity and Venture Capital Financing , including transactional structuring, regulatory compliance, and ongoing corporate governance. This position requires a strong understanding of the nuances of representing investors, founders, and emerging businesses in sophisticated financing transactions.
Key Practice Areas :
The role encompasses various legal disciplines, including but not limited to :
Fund Formation : Structuring and forming private equity and venture capital funds, drafting fund agreements, advising on compliance with securities regulations, and addressing tax considerations.
Mergers and Acquisitions (M&A) : Counseling clients on buyouts, divestitures, joint ventures, and other investment opportunities often involving private equity funding.
Capital Raising : Advising businesses on structuring venture capital rounds (Seed, Series A, B, etc.), negotiating investment terms, and preparing term sheets, subscription agreements, and shareholder agreements.
Corporate Governance : Serving as outside general counsel, advising on fiduciary duties, board composition, stockholder matters, and compliance issues.
Debt and Equity Financing : Structuring bridge loans, convertible notes, mezzanine financing, and other alternative financing arrangements.
Exit Strategies : Guiding clients through IPOs, SPAC transactions, secondary sales, or other liquidity events.
Regulatory Compliance : Ensuring adherence to securities laws such as the Securities Act of 1933, Investment Company Act of 1940, and related state and federal requirements.
