We are currently seeking a skilled Ethics and Compliance Manager for a 6-month assignment, to manage and execute ethics and compliance due diligence and post-close integration for M&A transactions.
This position offers an exciting opportunity to play a critical role in ensuring compliance integrity throughout the M&A process. You will work closely with internal teams such as Business Development, Legal, and Regulatory while overseeing third-party consultants, auditors, and legal advisors. The successful candidate will assess ethics and compliance risks, develop mitigation strategies, and present findings to both internal and external stakeholders.
Key Responsibilities :
Lead and execute ethics and compliance due diligence for global M&A transactions.
Assess compliance risks across various areas, including data protection, privacy, exclusion / debarment, promotional marketing, anti-corruption, transparency reporting, telemedicine, and government contracting.
Develop written assessments outlining key ethics and compliance risks, mitigation strategies, and pre- and post-close remediation plans.
Participate in internal and external meetings, including discussions with underwriters and subject companies.
Oversee third-party engagements, including drafting engagement letters, managing budgets, and ensuring timely deliverables.
Track and facilitate the implementation of pre- and post-close remediation actions.
Prepare reports and presentations for executive leadership using Word, Excel, and PowerPoint.
Review transactional agreements and advise Legal on provisions such as indemnification, representations, warranties, and closing conditions.
Provide timely notifications of closed deals to relevant teams to ensure smooth post-close integration.
Analyze emerging regulatory and legal compliance requirements and assess their impact on M&A transactions.
Qualifications and Skills :
Admitted to the Bar or holds a relevant law or graduate degree.
Experience in the life sciences or healthcare industry is a plus.
Strong understanding of industry practices and regulatory frameworks.
Proficiency in compliance tools, systems, and due diligence procedures.
Excellent organizational, analytical, and problem-solving skills.
Strong verbal and written communication, presentation, and public speaking skills.
Effective conflict resolution and negotiation abilities.
Ability to build strategic partnerships internally and externally.
Expertise in project management and budget oversight.
Typically requires 6-8 years of progressive experience in ethics and compliance, legal, or a related field.
