UCT is looking for a talented Commercial Counsel to join us Remotely!
We are seeking an experienced Commercial Counsel to join our in-house legal team. The ideal candidate will have a strong background in commercial transactions, contract negotiation, and corporate law, with demonstrated experience providing practical business-oriented legal advice to internal stakeholders.
Essential Duties and Responsibilities:
- Draft, review, and negotiate commercial agreements, including supply agreements, IP agreements, vendor contracts, NDAs, and strategic partnership agreements.
- Provide strategic legal counsel to business teams on commercial transactions, risk management, and regulatory compliance.
- Support the company's growth initiatives by structuring and negotiating business-critical deals.
- Manage relationships with external counsel when specialized expertise is required.
- Develop and maintain standard contract templates and playbooks.
- Collaborate with cross-functional teams including Sales, Procurement, Finance, and Product Development.
- Ensure compliance with relevant laws, regulations, and company policies.
- Familiarity with international commercial transactions.
- Monitor and analyze legal trends and developments that may impact the business.
Required Qualifications:
- Juris Doctor degree from an accredited law school.
- Active membership in good standing with state bar.
- 6 years of relevant legal experience, with at least 3 years of in-house experience preferred.
- Strong background in commercial transactions and contract law.
- Excellent contract drafting and negotiation skills.
- Experience supporting technology transactions and software licensing preferred.
- Deep understanding of privacy laws and data protection regulations.
- Superior analytical and problem-solving abilities.
- Outstanding written and verbal communication skills.
- Proven ability to work effectively with business stakeholders at all levels.

The pay range for this position at commencement of employment is expected to be between $111,400.00 and $203,200.00 USD /year; however, base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. The total compensation package for this position may also include other elements, including variable pay and discretionary awards in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO (Paid Time Off) and parental leave), dependent on the position offered. Details of participation in these additional compensation and benefit plans will be provided if an employee receives an offer of employment.
If hired, employee will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
