What are the responsibilities and job description for the Senior Corporate Counsel position at OSI Group?
This role is responsible for providing legal counsel to the corporation and its related entities to ensure protection of their interests and to ensure that their operations and activities are within the scope of applicable laws and regulations.
Job Responsibilities
- Job is an individual contributor and has no direct reports.
- Prepares and / or reviews and negotiates contracts and agreements, including purchase and lease, supply and requirements, construction, service, environmental, confidentiality and other types of commercial agreements to ensure legal compliance and alignment with company objectives / initiatives.
- Reviews and / or prepares joint venture, shareholder, partnership, technical service, and other agreements related to the formation, start-up, and continuation of domestic and international entities.
- Reviews and negotiates various types of commercial loan and financing arrangements.
- Counsels and advises corporate management on various commercial legal issues related to domestic and international entities.
- Prepares and presents preventive law materials training to company employees in various areas of the law, including contracts.
- Assists in development and implementation of standard processes and procedures within law department to ensure effectiveness of department functions and client support.
- Represents company and its operating units before governmental and quasi-legal bureaus, departments, and agencies, as needed.
- Manages specific litigation matters assigned to outside counsel, including strategy and budget review and oversight.
- Provides back-up support in the various areas as needed, including Food Safety, Compliance, and CIMT.
- Assists Managing / General Counsel in the operation of Legal Department activities as directed.
- Undertakes specific assignments as directed by Managing / General Counsel.
- This role has the responsibility to understand and place in practice appropriate safety procedures. This responsibility is achieved through education, training, use of protective equipment (as applicable) and by following safety policies, regulations, standards, and laws.
