The Oxford Corporate Counsel serves as the legal officer for the company and is responsible for all legal matters involving Oxford and its subsidiaries and affiliates. The candidate will provide strategic legal guidance and risk management while ensuring compliance with applicable laws and regulations. The Corporate Counsel will manage a broad spectrum of legal matters, including commercial transactions, real estate development, financing, litigation, employment, land use regulation, and insurance matters.
Commercial Transactions
Negotiate, draft, and review agreements related to real estate acquisitions, dispositions, leasing, construction, and financing.
Litigation Management
Supervise and coordinate litigation and dispute resolution strategies, including managing outside legal counsel.
Employment & Labor Law
Oversee compliance with federal, state, and local employment and labor laws, providing guidance on policies, disputes, and risk mitigation.
Service and Material Contracts
Review, draft, and negotiate service and material agreements to support the company’s real estate operations.
Land Use & Environmental Compliance
Advise on land use regulations, zoning matters, and environmental compliance related to the firm’s developments.
Corporate & Partnership Matters
Structure and manage corporate entities, partnerships, and joint ventures, including formation, operation, and dissolution.
Collections & Bankruptcy
Handle legal aspects of collections and bankruptcy proceedings affecting the company’s interests.
Risk Management & Insurance
Work with the Director of Risk Managment and Compliance on general liability, property, workers' compensation, and other insurance matters, ensuring adequate coverage and risk mitigation.
Real Estate Tax Assessment Appeals
Manage and facilitate tax appeals to ensure fair and accurate property tax assessments.
Regulatory Compliance
Ensure compliance with all applicable local, state, and federal regulations affecting real estate development and corporate governance.
What we require:
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in Pennsylvania or ability to obtain licensure.
- Minimum of 10 years of relevant legal experience, preferably in real estate development, construction, or a related industry.
- Strong transactional experience, including real estate acquisitions, financing, leasing, and construction law.
- Experience managing litigation and working with outside legal counsel.
- Knowledge of employment and labor law, risk management, PA Real Estate Commission and regulatory compliance.
- Excellent negotiation, communication, and leadership skills.
- Business acumen and the ability to provide practical, solution-oriented legal advice.
