Oxford Solutions is working with a banking client seeking a Legal Counsel for a direct hire opportunity. In this role, you will provide legal support and guidance on banking transactions, regulatory compliance, and corporate governance matters. You will assist employees, shareholders, and customers on a range of legal issues affecting the institution.
Responsibilities
- Advise on commercial and consumer banking regulations, risk management, and compliance.
- Support securities law matters, including SEC filings and corporate governance.
- Ensure compliance with stock exchange listing requirements and review earnings releases, investor materials, and related disclosures.
- Assist in sustainability reporting and ESG-related legal matters.
- Conduct legal research and provide guidance to internal stakeholders.
- Collaborate with business and compliance teams to develop policies, procedures, and training materials.
- Draft, review, and negotiate contracts, vendor agreements, and legal documents.
- Respond to writs, subpoenas, and other legal requests as needed.
- Perform other duties as assigned.
Qualifications
- Juris Doctorate from an ABA-accredited law school.
- Licensed and in good standing with the bar in Pennsylvania, Ohio, or New York
- Three to seven years of legal experience, preferably in financial services.
- Strong knowledge of banking regulations, corporate governance, and securities law.
- Ability to work collaboratively with internal teams and provide clear, practical legal advice.
