Department Overview

The Law Department provides timely, efficient and business-focused legal services to the company. The Strategic Transactions, Commercial Contracts, Competitive Issues and Customer team provides legal support for multiple functional areas and cross-functional teams across a broad spectrum of matters relating to privacy, compliance, transactions, regulatory, corporate real estate, competitive issues and PG&E customers.

Position Summary

The Senior Counsel (Federal Regulatory Compliance) attorney will focus primarily on advice and counsel for the regulatory compliance aspects of various projects receiving federal funding, particularly for programs funded by the Inflation Reduction Act of 2022 and the Infrastructure Investment and Jobs Act of 2021. The Senior Counsel will be expected to lead, and assist in, certain regulatory proceedings at the California Public Utilities Commission (CPUC), including those that involve federal funding issues.It will require interactions with and representation of clients in various aspects of the company's operations, depending on the project or funding source at issue. The role necessarily will include providing advice to business leaders on legal and regulatory risks and will include interactions with the officer team and leaders throughout the company. It will also interact with various external stakeholders including federal, state, and local government agencies, regulators, and other stakeholders (e.g., U.S. Department of Energy, CPUC legal division, prime- and sub-recipients of grants, funding coalition members, intervenors in regulatory proceedings, etc.) It will also support regulatory reporting related to federal grants, loans, and incentives, as established by OMB and CPUC. Experience advising on Davis-Bacon Act compliance is strongly preferred.

Reporting Relationship

This position reports to the Managing Counsel of the Law Department's Strategic Transactions, Commercial Contracts, Competitive Issues and Customer team.

Job Responsibilities

  • Establish and maintain deep, substantive knowledge in multiple areas of the law, including the regulatory-related areas set out above.
  • Develop and implement regulatory strategy as part of a team that includes regulatory affairs and representatives from policy and operational organizations.
  • Provide advice and counsel to management and project teams on legal issues and strategy.
  • Prepare and review legal documents, including complex pleadings and Board materials.
  • Manage and coordinate outside counsel, including outside counsel budget.

Compensation

PG&E is providing the salary range that the company in good faith believes it might pay for this position at the time of the job posting. This compensation range is specific to the locality of the job. The actual salary paid to an individual will be based on multiple factors, including, but not limited to, specific skills, education, licenses or certifications, experience, market value, geographic location, and internal equity. Although we estimatethe successful candidate hiredinto this rolewill be placed towards the middle or entry point of the range, the decisionwill be made on a case-by-casebasis related tothese factors.

A reasonable salary range is:

Bay Area Minimum: $189,000

Bay Area Maximum: $323,000

Background Qualifications

Minimum

  • Bachelor's degree and Juris Doctor degree from an accredited law school
  • Ten (10) years of relevant legal experience, post-JD-Juris Doctor, or other job-related experience
  • Experience as Attorney, 7 years
  • Law Bar admission, US
  • US state bar active member in good standing

Desired

  • Licensed to practice law in California or Registered In-House Counsel permit, CA
  • Strong legal research capabilities
  • Experience working with senior leaders
  • Experience in the energy sector
  • Competence in litigating regulatory proceedings at CPUC
  • Experience interacting with regulatory bodies and resolving government and intervenor actions, including cost allowability disputes
  • Experience advising energy industry clients on regulatory issues related to various types of federal funding, as well as analyzing and drafting related company policies
  • Experience advising energy industry clients on reporting requirements of U.S. DOE federal funding programs
  • Experience analyzing FAR and other procurement regulations as well as the Uniform Guidance
  • Experience litigating disputes between contractors and subcontractors and resolving cost allowability and business systems disputes
  • Experience developing processes and procedures for regulatory requirements
  • Experience managing outside and in-house legal resources
  • Project management experience
  • Public speaking and presentation skills
