Position Overview PearlX is seeking an experienced Legal Associate to join our fast-growing business. In this role, you will report to our [VP of Legal] to assist on all aspects of the Legal function of the business, chiefly, supporting and, as applicable, overseeing, project diligence, lease agreement negotiation, and the drafting, reviewing and negotiation of all other key project documents, including PPAs, EPCs, NDAs and project and corporate financing agreements (including for debt and tax equity transactions), as well as ensuring legal and regulatory compliance in respect of the companys growing asset portfolio. The Legal Associate will also collaborate with the VP of Regulatory & Policy on major regulatory initiatives of the company facing agencies and other decision-making bodies, in close concert with our peers and stakeholders in our fast-evolving industry. Thrives in a fast-paced, dynamic environment Minimum [4-7] years of experience transacting in real estate and preferably, the (renewable) energy infrastructure segment, at the asset and corporate (debt, equity, and tax), levels Possess strong initiative, excellent management and leadership skills, and strong business acumen What Youll Do Work with the [VP of Legal] to support all aspects of Sales, Operations, Development, Delivery, and Finance Work with the [VP of Legal] and companys roster of external counsel / advisers to drive deals for the Company, employing its market-leading proprietary and structured lease product, to facilitate deal origination through to close. Offer strategic advice on legal / contractual matters to Sales and Delivery teams. Update and maintain legal precedents, form agreements, and Lease closing documentation, including working towards implementation of a comprehensive document management system in the next fiscal. Research and maintain knowledge of a range of laws and regulations in the energy, housing, consumer protection space impacting company policy and operations to provide legal advice on regulatory matters to various units of the business. Under the VP of Regulatory & Policy, engage with external regulatory bodies and agencies in finalizing and submitting filings, reports and written comments Keep abreast of regulatory changes and industry trends to ensure compliance, update company policies, and identify potential risks and opportunities Assist [VP of Legal] on the effective and efficient management and resolution of all legal disputes, conflicts, and litigations arising during the course of business operations Qualifications and Competencies Required An active license to practice law in at least one US state (CA preferred) 3-6 years experience (consisting of either law firm or a mix of law firm and in-house experience) in contract negotiation, legal document preparation and the legal issues related to renewable energy, infrastructure project finance and real estate. Excellent research, analysis, and writing skills. Excellent organizational, analytical, problem solving, and critical thinking skills Ability to articulate complex legal concepts to non-legal stakeholders and counterparties. A solid understanding of regulatory compliance and a willingness to engage with regulatory agencies and industry stakeholders. Proficiency in Microsoft Office (Excel, Word, PowerPoint) Ability to work independently as well as collaboratively with internal / external individuals Preferred Qualifications Experience with financing (particularly tax equity) transactions. M&A and Capital Markets experience is an added plus. Experience interfacing directly with regulatory agencies and decision-making bodies.
