People Architects is excited to partner with our Stark County based client as we recruit for our Associate General Counsel. Our client is a growing D2C tech-enabled consumer products company that acquires and evolves e-commerce brands into household brands.
We are currently recruiting for an enthusiastic Associate Counsel to join our incredibly bright and passionate team. The Associate General Counsel will report to and work closely with the General Counsel, and will assist with all legal aspects of the company, an e-commerce aggregator.
As a member of our legal department, you'll have the chance to contribute significantly to our company’s growth by providing legal counsel, negotiating commercial agreements, supporting M&A transactions, advising on corporate governance, and otherwise gaining hands-on experience in a wide variety of day-to-day legal matters.
Responsibilities:
- Assist with providing basic legal advice and support to senior management on various legal topics such as contract reviews, intellectual property basics, data privacy, regulatory compliance, employment law, and corporate governance.
- Conducting legal research and identifying and mitigating legal risks, and ensuring adherence to laws and regulations under supervision.
- Aid in the development of legal strategies and processes, and support the organization's interests under guidance from experienced professionals.
- Support the General Counsel in corporate governance tasks, including the preparation of board resolutions, governance policies, and shareholder agreements.
- Assist with the maintenance of corporate entities and ensuring compliance with local laws and regulations.
- Help manage the legal aspects of corporate transactions under supervision.
- Work alongside corporate development and finance teams to assist in M&A processes under senior guidance.
- Provide support for M&A activities, preparing basic documentation, including non-disclosure agreements.
- Support M&A due diligence efforts by organizing documents and summarizing key findings for review.
- Aid with equity and debt financing activities under the supervision of senior legal professionals.
- Assist with the review and negotiation of financing-related documents, understanding the terms and compliance requirements.
- Support the company's compliance efforts, especially with respect to its credit facilities and other financing transactions.
- Stay informed about legal changes within the ecommerce sector and assist with the company's proactive compliance efforts.
- Coordinate with external legal counsel and consultants to support the broader legal needs of the organization.
Qualifications (required/preferred):
- JD degree from an accredited law school.
- Admission to the Ohio Bar in the jurisdiction(s) where the company operates.
- Strong desire to learn about corporate legal operations, M&A, and financing.
- Eager to develop an understanding of legal risks and practical problem-solving.
- Good communication skills, with the ability to assist in explaining legal concepts clearly.
- A team player who is also capable of working on individual assignments.
- 1-3 years of experience required, ideally at a law firm. Preference will be given to candidates who have M&A, litigation and/or IP experience.
- Exposure to Carta's equity management platform a plus.
- Internships and related extracurricular activities are a plus.

Salary : $100,000 - $115,000
