This position will be based in Lisbon, Portugal (Porto Salvo area), without relocation.
Responsibilities
This role will provide strategic legal advice and counsel to internal business partners with respect to legal matters related to exploration, production and development projects, business development, and corporate which includes identifying and providing solutions to mitigate business and legal risk.
The successful applicant will :
- Lead and manage legal aspects of complex international transactions, including business development efforts, asset level acquisitions, divestitures, joint ventures and major project development
- Draft and negotiate various upstream agreements, including leases and assignments, gas / oil sales and other purchase / sale agreements, trading / lifting agreements, joint operating agreements, farm-out agreements, accounting procedures, exploration and development agreements, areas of mutual interest (fields, operations, etc.), and preferential rights to purchase
- Draft and negotiate supply chain agreements, including transportation agreements, goods and services agreements, vessel agreements, etc.
- Partner with other attorneys in the Legal Department on commercial transactions related to special projects, joint ventures, and acquisitions
- Assist with issues related to general operational matters, marketing matters, training and quality, health, safety, and environmental matters
- Identify and counsel the business lines on potential risks, claims and disputes arising from commercial contracts and transactions, and propose practical solutions
- Advise on the impact of proposed local and international laws and regulations and judicial and administrative decisions on activities of the Company
- Manage matters regarding local real estate, employment and corporate governance
- Coordinate and manage outside counsel during due diligence activities and as needed for regulatory, tax and local jurisdiction advice and assistance
- Be responsible for working within a legal budget or budgets as directed by the General Counsel
