Our client, a prominent AmLaw 100 firm, is seeking a mid-level Corporate Associate Attorney to join its Capital Markets & Public Companies Practice Group in Silicon Valley , San Francisco , Santa Monica , Seattle , New York , or Washington, D.C. This is a unique opportunity to work on sophisticated transactions, advising some of the most innovative companies in the technology and life sciences industries.
Candidate Profile :
JD from a top-tier law school with a strong academic record.
Bar admission in the relevant jurisdiction , or eligibility to sit for / waive into the next bar exam .
3 years of substantive experience advising public companies or investment banks on capital markets transactions and SEC compliance .
Experience representing issuers or underwriters in IPOs , SPACs , direct listings , and follow-on offerings .
Deep knowledge of SEC regulations , corporate governance , public company disclosure obligations , and stock exchange compliance .
Strong interest or prior experience working with technology and life sciences companies .
Excellent oral, written, and interpersonal communication skills.
Key Responsibilities :
Advise public companies on SEC compliance , disclosure requirements , governance best practices , and stock exchange matters .
Represent issuers and investment banks in capital markets transactions , including IPOs, SPACs, direct listings, and follow-on offerings.
Counsel boards of directors and executive teams on corporate governance , shareholder activism , and strategic transactions .
Draft and negotiate registration statements , offering memoranda , underwriting agreements , and related securities law filings .
Collaborate with cross-functional teams, including tax, litigation, and executive compensation attorneys, to provide strategic counsel.
