Job Summary
The Associate Counsel, under the guidance of the Assistant General Counsel, provides a full range of legal support as a member of the Corporate Transactions team. The Associate Counsel will be responsible for coordinating and leading various cross-functional corporate transactions involving the finance, accounting, tax, treasury, human resources, commercial, and operations teams, as well as providing support for M&A and debt / financing transactions, as necessary. The Associate Counsel may also provide commercial contract support for Avient's two business segments.
Essential Functions
- Support internal corporation transactions for all global subsidiaries of Avient Corporation, including supporting dividends and cash repatriations, capital contributions, intercompany loans, internal operational and entity restructuring and rationalization, and other complex corporate transactions.
- Support corporate subsidiary governance for all global subsidiaries of Avient Corporation, including supporting changes to directors and officers, shareholder and board actions, preparing minutes of meetings of subsidiary boards, and participating in or leading subsidiary board meetings.
- Effectively interface with key business partners, including stakeholders from accounting, tax, finance, treasury, human resources, and external legal advisors.
- Analyze and summarize legal documents, including contracts and corporate governance documents, and make suggestions for alterations of those documents.
- Provide input and assistance during M&A activities and debt / financing transactions, including reviewing and drafting agreements and coordinating with internal stakeholders and external counsel, as necessary
- Review, draft, and negotiate a variety of commercial contracts, including sales agreements, rebate agreements, and other business agreements for Avient's two business segments : Color, Additives, and Inks and Specialty Engineered Materials.
- Identify potential legal risks and ensure contracts comply with applicable laws, regulations, and company policies.
- Provide legal advice and guidance to internal stakeholders on contract terms, obligations, and risk mitigation strategies.
- Support dispute resolution and contract enforcement as needed.
- Research and analyze the law on complex issues and write memoranda as necessary / requested.
- Participates in the selection, retention, and monitoring of outside counsel for Avient.
