What are the responsibilities and job description for the Corporate Counsel position at Post Commercial Real Estate?
Job Description: The Corporate Counsel will be responsible for all corporate legal matters.
Wage Status: Exempt (Ineligible for overtime)
Job Responsibilities:
- Contract Administration
- Managing the review and drafting of construction contracts with sub-contractors and vendors at each construction site, including but not necessarily limited to the drafting and review of subcontractor and general contractor AIA based construction agreements for a wide variety of construction trades.
- Review of documentation and proper " on boarding of sub contractors" with various levels of sophistication.
- Assistance in the effort to ensure sub contractors are aware of the payment application process and that the contracts are and instrument of that payment schedule process.
- Assistance with expediting formal and complete approvals from third party entities.
- Corporate Record Keeper
- Assisting in the organization and support of record keeping activities that support the development, accounting, acquisition and construction teams in the transition of records to one another and to third parties. This effort is also to refine existing procedures of "checks and balances" ensuring that critical documents, licenses and permit logging and efforts are complete and easy to access.
- Corporate Secretary
- The oversight of all corporate entities, including formations, tracking annual fees and taxes, qualifications required by law and other information relating to the overall corporate structure.
- The organization and tracking of all corporate agreements entered into by the Company, including all loan documents, acquisitions documents and property related items.
- Drafting of various legal documents necessary for the operation of the company.
- Assisting in due diligence management and tracking in respect of acquisitions and dispositions.
- Managing closings logistics for the General Counsel, including acting as a liaison with title companies and law firms in gathering signatures and other items necessary for closings.
- Managing Corporate Transparency Act Compliance
- Litigation Management
- Manage and track outside counsel in respect of ongoing litigation (both insured and uninsured) across the portfolio
Job Responsibilities:
• Master’s Degree in Law required (J.D. preferred)
• 10 years’ legal practice experience
• Proven understanding of national and international labor, trademark and copyright laws
• Strong communication and organizational skills
