As we continue our growth journey, we are looking for a Chief Legal Officer (CLO) who is not only an experienced legal expert but also an entrepreneurial partner with a passion for mental health and technology. The CLO will play a crucial role in overseeing legal matters, ensuring compliance, and helping us navigate the complex regulatory environment, while also assisting in fundraising activities to scale our solutions.

Role Overview

As our Chief Legal Officer (CLO) , you will be responsible for managing all legal aspects of our business, from corporate governance to compliance and intellectual property. You will provide strategic guidance to our leadership team and assist in securing the necessary funding for the company’s growth. In this early-stage startup, this role is unpaid until we successfully secure funds, and you will be required to make a mandatory investment of $400,000 to participate in the venture.

Key Responsibilities

  • Legal Strategy & Governance

Develop and implement comprehensive legal strategies that align with business goals. Oversee corporate governance, ensuring the company complies with all relevant laws and regulations. Advise on company formation, legal structures, and internal processes.

  • Compliance & Regulatory Affairs

    • Ensure compliance with healthcare regulations, data protection laws (HIPAA, GDPR, etc.), and industry-specific standards. Navigate complex regulatory requirements for AI-driven health tech products. Manage legal risks associated with the development and distribution of the AI solutions.

  • Fundraising & Investor Relations

    • Assist in preparing legal documentation for fundraising, including investment rounds (seed, Series A, etc.). Negotiate and finalize terms of funding agreements with investors and venture capital firms. Provide legal counsel during M&A, IPO, or other exit strategies.

  • Intellectual Property

    • Oversee the development and protection of intellectual property (patents, trademarks, copyrights, etc.). Collaborate with the product and R&D teams to ensure legal compliance in AI technology development.

  • Contract Negotiation & Management

    • Draft, review, and negotiate contracts with clients, suppliers, partners, and other stakeholders. Manage employment contracts, non-disclosure agreements (NDAs), and partnership agreements.

  • Dispute Resolution

    • Lead any legal disputes or litigation efforts. Provide strategies for risk mitigation and dispute avoidance.

    Requirements

  • Juris Doctor (JD) from an accredited law school (required).
  • Minimum investment of $400,000 into the business (mandatory) to support the startup's growth and fundraise.
  • Proven experience in healthcare law technology law intellectual property , and corporate governance
  • Deep understanding of data privacy laws HIPAA , and regulations surrounding AI in healthcare
  • Previous experience in fundraising investor relations , and venture capital negotiations.
  • Strong negotiation skills and the ability to work effectively with investors, stakeholders, and partners.
  • Demonstrated ability to operate in a startup environment and manage multiple legal tasks simultaneously.
