Job Overview:

The Corporate Counsel will serve as the primary legal advisor for the company, responsible for ensuring legal compliance while enabling business growth. This key role will involve overseeing contract negotiation, managing regulatory compliance, and guiding business decisions to mitigate legal risks. As we scale, you will play a vital part in balancing the legal framework with business strategy, driving efficiency, and minimizing risk.

You will work closely with cross-functional teams to ensure that legal and regulatory requirements are integrated into day-to-day operations, product offerings, and business initiatives. This is a hands-on role where you’ll provide both strategic and tactical legal support, while ensuring compliance in a rapidly evolving industry.

Key Responsibilities:

• Draft, review, and negotiate various commercial agreements, including but not limited to, Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), Letters of Understanding (LOUs), and contract terminations.
• Lead contract negotiations with customers, partners, and vendors, ensuring that terms reflect business priorities while minimizing legal risk.
• Ensure that contracts are structured in a way that aligns with operational goals, minimizes liabilities, and protects company interests.
• Stay current on legal and regulatory changes across various jurisdictions that impact our business (e.g., data privacy, accessibility, communication regulations, and emerging industry-specific regulations).
• Advise internal teams (e.g., product, marketing, engineering) on how to align their activities with applicable laws and regulations, ensuring compliance at all stages of business operations.
• Work with internal teams to prepare for regulatory audits and ensure compliance with industry standards and government regulations.
• Review and update product usage policies, terms of service, and privacy policies to ensure alignment with regulatory requirements and business goals.
• Collaborate with product and engineering teams to assess the legal risks associated with new product features, releases, and updates, ensuring compliance with applicable laws.
• Work with the product and marketing teams to ensure that online sign-up workflows, terms and conditions, and privacy statements meet legal requirements.
• Provide proactive legal guidance to business leaders on key business decisions, helping to minimize potential legal risks while supporting growth initiatives.
• Serve as the primary legal contact for handling disputes, including contract breaches, claims, and negotiations for resolution, both internally and externally.
• When necessary, engage with external counsel on litigation matters, ensuring strategic oversight and cost management.
• Partner with external law firms for specialized legal matters, regulatory issues, and litigation, managing external legal costs and ensuring effective counsel.
• Stay engaged with industry associations, regulatory bodies, and other stakeholders to remain ahead of legal trends, emerging risks, and best practices in the tech and SaaS spaces.

Required Skills and Experience:

• JD (Juris Doctor) from an accredited law school.
• A minimum of 5 years of relevant experience as a corporate or in-house counsel, preferably in SaaS, technology, or other fast-paced, high-growth industries.
• Extensive experience in contract negotiation and drafting, with a focus on commercial transactions and software licensing agreements.
• In-depth understanding of data privacy, accessibility, and emerging regulations in the tech and SaaS spaces.
• Demonstrated ability to provide legal counsel to non-legal teams and executives, translating complex legal issues into actionable business decisions.
• Strong experience in identifying legal risks and providing practical solutions for mitigating them while supporting business growth.
• Proven track record of negotiating high-stakes contracts and agreements that balance business needs with legal protections.
• Ability to navigate evolving legal landscapes, adjusting quickly to changes in laws, regulations, and business strategies.
• Both written and oral communication skills must be outstanding, with the ability to present legal concepts clearly to stakeholders at all levels.
