We're looking for a General Counsel to lead the company’s legal strategy, commercial contract management, legal governance, risk management, and compliance functions. This role will be responsible for overseeing legal operations, developing commercial contracts, corporate governance, regulatory compliance, litigation strategy, and risk mitigation. The General Counsel will work closely with senior leadership to develop policies and frameworks that protect the company’s interests while enabling business growth and operational efficiency.

RESPONSIBILITIES

  • LEGAL STRATEGY & OVERSIGHT
  • Develop and implement the company’s legal strategy, aligning with business goals and regulatory requirements.
  • Provide counsel to executives and business leaders on legal risks, obligations, and compliance requirements.
  • Lead initiatives to ensure the company’s legal framework supports operational scalability and expansion.
  • Direct litigation strategy, working with outside counsel to manage disputes effectively.
  • Oversee legal cost control and budgeting, optimizing external counsel spend while maintaining quality legal representation.
  • Implement matter tracking systems to ensure efficiency and accountability in legal case management.
  • CONTRACT MANAGEMENT & COMMERCIAL SUPPORT
  • Lead contract review, negotiation, and drafting, ensuring alignment with business needs while mitigating legal risk. Partner with sales to review & amend contracts.
  • Develop and maintain standardized contract templates and negotiation playbooks.
  • Provide legal support for sales, fleet, operations, IT, and HR, including employment law guidance and commercial agreements.
  • Assist business teams including supply chain and field service in structuring and closing strategic partnerships and vendor agreements.
  • RISK MANAGEMENT & COMPLIANCE
  • Establish and oversee a risk assessment framework to proactively identify and address legal and regulatory risks.
  • Ensure adherence to industry regulations, contractual obligations, and corporate policies.
  • Develop and maintain a compliance program, incorporating training, monitoring, and enforcement mechanisms.
  • Partner with Treasurer on the company’s insurance programs to review policies & protect against operational and financial risks.
  • CORPORATE GOVERNANCE & SUPPORT
  • Manage corporate governance practices, ensuring compliance with applicable laws and regulations.
  • Support the Board of Directors, including meeting preparation, corporate recordkeeping, and regulatory disclosures.
  • Oversee the maintenance of corporate records, policies, and governance documentation.
  • LEADERSHIP & DEVELOPMENT
  • Build and lead a legal function that supports the organization’s evolving needs.
  • Foster collaboration with business units, providing legal education and awareness initiatives.
  • Leverage technology and automation to enhance legal operations, contract lifecycle management, and compliance tracking.

REQUIREMENTS

  • REQUIREMENTS
  • MUST HAVE
  • 10 years of legal experience, with expertise in corporate law, compliance, and risk management.
  • 5 years of leadership experience, managing legal teams or serving as the top legal officer within a business.
  • Strong understanding of contract negotiation, regulatory compliance, workforce regulations, and corporate governance.
  • Experience overseeing litigation, legal budgeting, and external counsel relationships.
  • Ability to develop and implement legal policies and frameworks that align with business objectives.
  • Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
  • NICE TO HAVE
  • Legal expertise in vehicle fleet management, transportation logistics, or equipment manufacturing.
  • Knowledge of information security compliance, digital privacy frameworks, and regulatory enforcement.
  • Knowledge of state-level environmental and safety regulations impacting the industry.
  • Proficiency in legal technology solutions for contract management and compliance tracking.
