Job Overview
The Associate Counsel is primarily responsible for drafting and/or reviewing commercial agreements, policies and procedures, reviewing marketing materials, providing day-to-day legal and compliance support for assets managed by Prime Group Holdings, conducting legal research and assisting with real estate acquisitions and financings. The Associate Counsel will have at least four years of corporate legal experience working in a law firm or in-house position. Real estate experience is preferred but not required. The Associate Counsel reports to the Executive Vice President and Senior Counsel. For the right candidate, the position can be hybrid with an in-office requirement of two weeks per month.
Essential Responsibilities
- Providing advice to internal stakeholders regarding legal obligations and risks related to business matters, new initiatives or offerings, particularly with respect to applicable contractual, statutory or regulatory requirements
- Drafting, reviewing and/or negotiating a broad range of agreements with vendors, customers and other third parties
- Reviewing and advising regarding marketing materials
- Completing various legal research projects and related legal analyses
- Monitoring for developments in applicable legislation, regulation and industry standards
- Providing day-to-day legal and/or compliance support for assets managed by Prime Group Holdings
- Other duties as assigned by the Chief Commercial Officer and Chief Compliance Officer and Executive Vice President and Senior Counsel
Qualifications
- J.D. from an accredited law school with at least 4 years of experience as a practicing attorney, preferably with a focus on corporate and transactional matters.
- Admission to the bar in at least one U.S. state and the ability to practice law in the State of New York
- Experience in real estate transactions and management is preferred but not required.
- Ability to work independently.
- Significant experience in drafting and negotiating contracts
- Excellent verbal and written communication skills
- Excellent organizational skills and attention to detail
- Strong project management, communication and analytical skills
- Proficient with Microsoft Office and LexisNexis
- Track record of establishing solid relationships, polished and highly personable
- Demonstrated ability to work in a fast paced, entrepreneurial-minded environment
