Position Summary
The Senior Commercial Counsel will serve as a key legal advisor to the business, providing strategic and practical counsel on a broad range of commercial transactions. This individual will have significant responsibility as a key member of the legal team and work very closely with the business commercial teams. This is a new role responsible for structuring, drafting, negotiating, and reviewing a wide variety of contracts, including complex, global commercial agreements such as master service agreements, supplier agreements, power generation-specific agreements such as long-term and technical service and operations & maintenance (O&M) agreements. This position will also provide counsel and assistance to team members involved in all facets of operating company-owned power plants and constructing third party power projects. The role will also support corporate and M&A transactions, risk management, finance, tax and other critical areas in the business. The ideal candidate will have experience in the energy sector and a proven ability to support commercial growth while managing legal risk and improving legal operations as the business continues to grow. Preferred locations include Houston and Kansas City and will consider others.

Position Responsibilities
- Draft, review, and negotiate a variety of commercial agreements, including energy and power generation- related agreements.
- Provide timely, business-focused legal advice that aligns with the company’s strategic and operational goals.
- Collaborate cross-functionally with teams such as Commercial, Sales, Business Development, Product, Engineering, Risk Management, Finance, and Tax to support the full lifecycle of commercial transactions.
- Serve as a trusted legal advisor to internal stakeholders, effectively balancing legal risk with business objectives.
- Conduct legal risk assessments and develop practical solutions to support complex commercial initiatives and mitigate potential exposures.
- Simplify complex legal concepts and communicate them clearly and effectively to non-legal stakeholders.
- Lead informal dispute resolution efforts and support formal dispute resolution processes where necessary.
- Monitor industry trends, regulatory developments, and emerging legal risks that may impact the business.
- Use creativity and critical thinking skills to drive process improvements and help build scalable commercial legal infrastructure, processes and tools.
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the relevant State Bar.
- 5 years of experience practicing law in an internationally/nationally recognized law firm or in-house legal department (a mix of law firm and in-house experience is strongly preferred).
- Solid foundation in negotiating complex contracts and the ability to identify and solve for potential legal and business issues.
- Proven track record of working with complex commercial agreements in technical and industrial applications.
- Strong legal judgment and analytical skills and a proactive, solution-oriented mindset with the ability to think commercially.
- High level of discretion, trustworthiness, and confidentiality.
- Character attributes of integrity and commitment to high moral and ethical principles and values.
- Excellent drafting and negotiation abilities.
- Demonstrated success in working in a fast-paced environment, including handling a number of projects, with the ability to organize and prioritize.
- Enjoys being strategic and hands-on, winning in the trenches with commercial and other business colleagues actively contributing to the success of the organization.
- Excellent problem-solving and decision-making skills.
- Ability to draft, negotiate and close agreements independently with minimal supervision.
- Exceptional communication and interpersonal skills, with the ability to communicate legal issues and solutions clearly and concisely and build strong working relationships across departments and regions and with customers, suppliers and other counterparties.
- Some travel (including international) required.
- US work authorization is a precondition of employment. The company will not consider candidates who require sponsorship for a work-authorized visa.
- Successful candidate will need to satisfactorily complete pre-employment drug screen and background check.
- Familiarity with energy market and power generation agreements, including engineering, procurement and construction (EPC), power purchase (PPA), project finance and/or development.
