What are the responsibilities and job description for the Corporate Paralegal/Contract Specialist position at Proforma?
Proforma is looking to hire an accomplished corporate paralegal or compliance/contract specialist with experience in corporate compliance and governance, operational governance, and contract management. The candidate will report directly to the company’s President and Chief Legal Officer.
Job Duties/Responsibilities:
- Work with Operations team members to maintain Proforma’s franchise standards.
- Prepare, update, implement, and manage policies, communications, and training presentations relating to corporate and franchisee compliance, and maintain records of communications and training.
- Manage franchise agreements, renewals, defaults, and terminations.
- Manage inter-system mergers & acquisitions.
- Monitor franchise wind-down accounting activity (AP, AR, write-offs, and offsets).
- Perform franchise audits.
- Maintain Confidential Proforma Operations Manual & departmental policies.
- Manage Franchise Agreement Renewals.
- Proactively resolve disputes and handle legal matters internally to reduce costs.
- Act as liaison between the legal and internal business teams, attend meetings, respond to inquiries, present information to internal stakeholders, and continually update and improve existing document and contract templates.
- Maintain and update SOPs for this position.
- Assist to manage discovery, document review, and any other aspect of litigation.
- Any other duties or tasks as needed by the company.

Required Education and Experience:
- 3-6 years of experience in private practice or in-house.
- Contract and compliance experience required.
- Demonstrated ability to work independently and manage multiple projects that require collaboration across functional areas.
- Franchise systems and legal documentation experience are strongly preferred.
- Proven ability to develop, implement, audit, and monitor policies, projects, processes, systems, and controls across an organization.
Salary : $75,000 - $85,000
