Responsibilities:
- Form entities in NY and virtually every other state in the continental U.S.
- Check the availability of names through the Department of State and reserve names.
- Draft and file formation documents with the Secretary of State; prepare organizational minutes, bylaws, and operating agreements.
- Arrange for mandatory publication of newly formed LLCs.
- Obtain and organize minute book, and corporate seal, prepare stock certificates, complete stock ledger, and maintain corporate records.
- Obtain employer identification numbers for tax purposes from IRS secure database.
- Draft Assignment and Assumption Agreements, and other corporate documents.
