The Opportunity:
The Legal Counsel- North America will serve as a key legal advisor on corporate and commercial matters for Puig subsidiaries across North America, encompassing the United States and Canada. This role supports Puig’s Beauty and Fashion division, which includes prestigious brands such as Carolina Herrera, Rabanne, Jean Paul Gaultier, BYREDO, and Dr. Barbara Sturm, alongside the Carolina Herrera fashion house. The position will partner with business stakeholders to advise on, negotiate and draft commercial agreements, facilitate business initiatives, including sustainability and regional growth, and work to develop and implement legal strategies to manage and mitigate business and legal risks. This role is based in our NYC offices and reports to Puig’s Legal Director for North America, who is also based in in New York.
What you’ll get to do:
- Work closely with stakeholders across the company to manage the company’s day-to-day legal and compliance needs (Note: Tax, regulatory reporting and employment matters are excluded from the scope of legal support)
- Serve as a key member of Puig’s legal group, providing proactive and practical guidance to our internal business stakeholders
- Act as a primary point of contact to internal stakeholders and external business partners for drafting, negotiating, finalizing and advising on a variety of agreements, including, but not limited to distribution, retail, SaaS, vendor, technology, operations, product, social media, leasing and other commercial agreements
- Maintain an updated contracts database
- Partner with other legal group members (Employment Law, Tax) on the review of contracts
- Develop templates to facilitate efficient creation and review of day-to-day low-value transactions
- Assist in resolving conflicts with wholesalers and manage the termination of wholesale partnerships, as well as the appointment of new commercial partners
- Maintain up-to-date knowledge of applicable laws and regulations impacting our contracts, including helping our internal stakeholders navigate rapidly changing areas such as privacy and new technologies; Identify potential legal risks and develop preventive measures
- Liaise with external counsel in a responsible and cost-effective way
- Contribute to the legal team’s ongoing efforts to build, improve and operationalize internal processes, workflows, best practices, and commercial templates
- Work cross-functionally to develop and implement comprehensive legal strategies, policies, and procedures to manage and mitigate both business and legal risks
- Draft, review and coordinate the execution, registration and implementation of all necessary corporate resolutions of the Companies
- Ensure the Companies’ compliance with general corporate secretarial matters and oversee the implementation of Puig corporate policies
We’d love to meet you if you have:
- 5 years relevant legal experience, preferably with 3 years as in-house counsel at a multinational company
- Juris Doctor from an ABA accredited law school and admission to NY bar
- Excellent contract drafting and negotiation skills, spanning multiple disciplines
- Experience reviewing and advising on commercial contracts, particularly SaaS, vendor and distributor/wholesaler agreements.
- Desire to work in a fast-paced environment, are a self-starter, able to prioritize effectively, and work both independently and as part of a growing team to understand business needs and find creative solutions
- Demonstrated ability to be flexible and pragmatic in solving complex challenges, with strong communication skills, and sound judgment in ambiguous situations
- Strong business acumen and understand the importance of working with stakeholders to weigh business risk against legal risk; experience in the luxury consumer/retail industry is a plus
- Expertise in reviewing commercial, service, and lease agreements, with familiarity in general corporate matters.
- Strong business judgment and ability to assess legal risks while providing practical advice
- Bi-lingual communication skills (Spanish) is a plus, but not a requirement
Compensation:
As required by New York State’s salary transparency law, effective November 2022, the expected base salary for this position ranges from $120,000.00- $175,000.00. Various factors are considered when extending offers, such as relevant skillset, training, years of experience related to the current job description, education, and our organizational structure. Salary : $120,000 - $175,000
