JOB DESCRIPTION And RESPONSIBILITIES

The Corporate Counsel primarily works under the direction of RTG’s General Counsel and RTG’s Senior Corporate Counsel and will be tasked with drafting and revising various types of contracts the firm or its affiliates enter into, providing legal support on the firm’s real estate development projects, managing the firm’s insurance and real estate licensure programs, and providing any other type of assistance to RTG as it relates to legal issues and risk. The Corporate Counsel will report directly to RTG’s Senior Corporate Counsel and indirectly to RTG’s General Counsel. Specific responsibilities include the following:

  • Draft, negotiate, review, and administer various types of contracts RTG enters into in the regular course and scope of business.
  • Provide legal support on RTG’s healthcare development projects by helping create legal infrastructure for those projects, including, without limitation, creating special purpose entities, drafting operating agreements, subscription agreements, and other related corporate documents, drafting and negotiating development agreements, construction contracts, architect contracts, leases, project management agreements, property management agreements, and financing documents, and reviewing, analyzing, and drafting property documents like easements, restrictive covenants, plats, and surveys.
  • Help create and administer the firm’s policies and procedures to mitigate the firm’s risk.
  • Review real estate licensing laws of various states and assist the firm in ensuring compliance with those rules.
  • Help manage RTG’s corporate insurance program by providing assistance on insurance audits, insurance renewals, COI procurement, etc.
  • Help update the Employee Handbook on a regular basis and assist with policy administration.
  • Provide any other type of assistance to RTG as it relates to legal issues and risks.
  • Research various legal issues, including, but not limited to, those involving healthcare regulatory issues as they relate to the healthcare real estate industry and draft memos regarding the same.
  • Perform other assigned work for the firm’s service lines or for the firm in general as directed by management.

Education And Experience

  • Bachelor's Degree in English, History, or other writing and research-intensive majors or a Bachelor’s Degree in Business Administration, Accounting, Finance, Real Estate, Healthcare, or related field is required.
  • J.D. from an accredited U.S. law school is required.
  • Must be licensed to practice law in Tennessee, Georgia, North Carolina, Florida, or Texas.
  • Minimum of 2 years of healthcare, real estate, or construction law experience in a law firm, health system legal department, or a real estate firm legal department is required.
  • Previous experience in healthcare and/or real estate industries is preferred.

ALLOCATION OF TIME

  • Business / Client Development – 5%
  • Client / Project Work – 10%
  • Corporate – 80%
