Chief Administrative Officer (CAO) – Driving Strategy, Compliance & Organizational Excellence
Are you a strategic leader with a passion for navigating complex legal, HR, and compliance landscapes? As the Chief Administrative Officer (CAO), you’ll play a pivotal executive role, overseeing the legal, human resources, and compliance functions to safeguard the organization’s integrity and drive operational success.
In this high-impact position, you'll manage legal risks, ensure regulatory compliance, and provide expert legal counsel on major contracts and transactions, including mergers and acquisitions, business and physician agreements, HR & employment matters, real estate, litigation, and more. Serving as the primary legal advisor to the CEO, senior leadership, and Board of Trustees, you’ll ensure that every decision aligns with both company goals and legal requirements.

Key Responsibilities
Corporate Leadership and Strategic InitiativesProvides overall leadership and management of corporate and commercial legal matters, facilitating key initiatives such as acquisitions, strategic alliances, and negotiations with the Board and executive team.
Litigation, Risk & HR Compliance: Advises on litigation risks, oversees regulatory inquiries, and ensures compliance with labor laws, employee relations, and HR policies to mitigate risk.
Negotiation and Agreement ManagementNegotiates, drafts, and implements complex agreements, including mergers, acquisitions, strategic alliances, joint ventures, and physician affiliation agreements.
Compliance and Risk ManagementLeads compliance initiatives, oversees the corporate compliance program, ensures adherence to legal and ethical standards, and develops risk management policies and systems.
Strategic Planning for Legal ServicesDevelops and implements a legal services plan aligned with business objectives, including budgeting, selecting/managing outside counsel, and HR functions, including employee benefits, workers’ compensation, and in-house legal training.
Qualifications & Requirements
Education:
- Required: Juris Doctor of Law from an accredited law school
Experience:
- Required: 15 years of experience in legal through a combination of major law firm, in-house general counsel or senior managing in-house counsel with five years in a senior leadership role
- Required: Solid healthcare experience, including in the areas of hospital/healthcare business operations and contracting; physician contracting; business transactions, including joint ventures, mergers/acquisitions/dispositions, and financings; and healthcare regulatory and legal compliance, as well as an excellent understanding of major federal laws, applicable state laws and related regulations that govern the provision of healthcare services.
