Role Profile
The Director of Executive Compensation will be responsible for the design and administration of executive compensation programs. With a sharpened strategic focus and increased operating flexibility, all compensation programs need to be evaluated to ensure they support the company transformation and business goals.
The role will require to have a very high degree of flexibility, with stakeholders based in time zones across multiple continents. The person will be expected to partner with key industry specialists to create process and policy supporting RWC’s compensation programs.
Please note, these tasks are provided as a guide, and you may be required to perform additional duties in addition to these tasks:
- Work closely with RWC leadership in developing a deep understanding of the business model, global product offerings, competitive positioning and growth opportunities. Support the current executive compensation programs which support the attainment of business goals and strategies. Serve as a key subject matter resource and provide decision and analytical support to the CPO.
- Analyze the effectiveness of current executive programs including the correlation of payout to business achievement, behavior motivation, ability to attract the best talent, retention of the best talent, pay equity and competitive positioning.
- Research executive compensation design trends for our key markets. Have a deep understanding of all aspects of compensation including salary structures, base pay, short term compensation, long term compensation, equity programs and perquisites.
- Lead and participate in the annual compensation planning cycle activities. Ensure the flawless implementation of executive compensation programs for across the global business.
- Work directly with the independent compensation consultant in conducting benchmarking studies and interface with Finance on expense projections and audit processes.
- Maintain share registration scheme working with Registrar. Gain a working knowledge of the operation of the stock plan administration platform and provide support Global Stock Plans function as needed.
- Conduct periodic benchmarking reviews of director compensation and provide recommendations.
- Develop gap/proxy analyses which demonstrate opportunity for program redesign to competitively attract and reward executives and drive business performance.
- Working with regional HR teams and legal functions to understand and apply tax regulations, labor and Securities and Exchange Commission laws, financial reporting requirements and internal governance issues to ensure the design and administration of compensation programs are in compliance.
- Develop materials and presentations for senior leadership as well as the Nominations and Remuneration Committee (RNC) of the Board of Directors.
- Develop executive compensation learning materials and participate in delivery of related training sessions and documentation. Develop clear and concise communications of programs for executives. Articulate the correlation of program design to business strategy including financial and nonfinancial business targets.
- Draft quantitative and qualitative elements of the annual proxy statement and lead executive compensation discussions with proxy advisory firms and investors.
- Work closely with CPO, HR, outside consultants, legal counsel and finance in the development, implementation and communication of compensation programs.
- On an ongoing basis, work closely with senior human resources and line leadership in understanding their perspective, communicating the results of analyses, discussing and gaining their input into design options and developing consensus for final design changes.
Technical Skills
- The successful candidate will have 5 – 10 years of experience in the design and administration of executive compensation programs for a publicly traded company. Experience working or consulting for a complex, global manufacturing company is important. The individual will demonstrate:
- Deep expertise in designing executive compensation programs including base salary, short term incentive compensation, long term equity/performance plans, executive benefits and executive perquisites is required. Familiarity with standard practices for programs in the USA (and Australia preferred)
- Significant experience developing materials and presentations for the Board of Directors and Senior Leadership.
- Superb business acumen including strong financial skills and the ability to understand all business strategic and operational goals.
- Prior experience managing public company executive compensation programs.
