Position Title
Senior Corporate Paralegal
Position Summary
The Senior Corporate Paralegal is responsible for comprehensive management of all matters relating to state insurance regulatory filings, U.S. legal entity / subsidiary management, U.S. Board of Directors meetings, enterprise-wide corporate governance support, and other legal team support across the company. As a key member of a collegial, supportive legal team, the Senior Corporate Paralegal will collaborate with senior management, internal and external board members, external advisors and stakeholders across the organization.
Position Description :
- Manages U.S. legal entity registrations, annual reports, licensing, etc.
- Prepares insurance regulatory filings and responds to inquiries from state insurance regulators
- Provides support to independent auditor, financial reporting group, and other internal stakeholders related to corporate governance and other entity matters
- Supports legal team on large-scale M&A transactions, including review of non-disclosure agreements, document preparation, and post-closing integration and administration
- Manages Board of Directors meetings for U.S. entities, including drafting agendas, resolutions, and minutes and coordinating collection and distribution of meeting materials
- Maintains corporate records and stays current with respect to best practices for corporate governance and secretary functions and services
- Supports investment management counsel / function with administrative and transactional matters
Qualifications :
Location : New York, NY (generally 1-2 days / week in the office, may be more)
