Position Summary
Reporting to the Vice President of Operations, the Contracts and Compliance Manager will be part of a team of professionals who help deliver the benefits of labor-management Trusts. The Contracts and Compliance Manager is responsible for overseeing contract review, liaising with legal counsel, ensuring compliance with contractual obligations, and advising on regulatory requirements, including HIPAA protocols. This role will also track board meeting decisions, ensuring alignment with organizational policies and legal requirements. This position plays a key role in proactively managing legal risk, improving internal processes, and ensuring accountability across programs.

Essential Functions

Compliance and Regulatory Advisory

  • Advise on HIPAA compliance, ensuring the organization follows privacy and security regulations.
  • Respond to compliance-related inquiries and assist in resolving potential breaches.
  • Liaison with the organization and legal counsel on regulatory matters.
  • Understand and remain abreast of compliance-related laws, regulations, and guidelines that apply to the organization.
  • In collaboration with organizational leaders, develop and implement policies and processes to mitigate legal and compliance risks.
  • In collaboration with legal counsel, ensure labor-management trusts are compliant with the Employee Retirement Income Security Act (ERISA)
  • Partner with HR to develop and deliver appropriate trainings to ensure employee awareness and understanding of compliance requirements
  • Support nonprofit governance and compliance practices, including conflict of interest tracking, document retention, and ethics policy administration.
  • Provide internal guidance and training to staff on compliance protocols, policy updates, and risk mitigation strategies.

Contract Review and Management

  • Review, analyze, and track contracts, ensuring terms align with organizational goals and compliance standards.
  • Collaborate with legal counsel to negotiate terms and resolve contract-related issues.
  • Maintain a centralized repository of contracts, amendments, and related documentation.
  • Ensure proper execution and archiving of agreements in accordance with internal policies.
  • Monitor contracts for key dates, including renewals, terminations, and required notices.
  • Recommend and help implement systems or tools that support contract lifecycle management and compliance tracking.

Board Decision Tracking

  • Document and implement board meeting decisions related to contracts and compliance matters.
  • Create and maintain a system for tracking decisions made by boards of trustees and appropriately archive board meeting documents.

Risk and Insurance Oversight

  • Work with insurance broker to ensure RISE’s insurance portfolio protects the organization’s assets.
  • Maintain confidentiality of information related to compliance and human resources matters.
  • Support risk mitigation efforts by identifying areas of exposure and recommending policy or process improvements.
  • Other duties as assigned.

Knowledge, Skills and Abilities

  • Strong understanding of contract structures, terms, and regulatory requirements.
  • Familiarity with relevant laws and regulations, including HIPAA, data privacy, and industry-specific compliance.
  • Ability to assess complex legal and contractual language, identifying risks and opportunities.
  • Attention to detail to ensure a high level of accuracy.
  • Strong project management and organizational skills to manage multiple contracts, deadlines, and board directives.
  • Clear and concise verbal/written communication skills, with the ability to liaise effectively with legal teams and leadership.
  • Ability to identify risks and implement proactive solutions.
  • Proficient in MS office tools (including Excel) and DocuSign.
  • Ability to support RISE’s organizational values of Respect, Integrity, Service and Equity in the development and delivery of your work including demonstrated positive interactions with staff, vendors, the consumers we support and other organizational stakeholders
  • Experience working within in a mission-driven or nonprofit environment, ideally with multi-entity or trust-based structures.

Experience

  • Relevant high-impact experience in risk management within a medical, government, financial, legal, or similarly regulated environment.
  • Proven ability to manage multiple projects simultaneously, ensuring timely completion and compliance with regulatory requirements.
  • Strong experience in conducting research, synthesizing complex information, and presenting actionable findings.
  • Hands-on experience reviewing, analyzing, and interpreting contracts, identifying potential risks and compliance requirements.
  • Proven ability to develop and maintain tracking tools to monitor contractual obligations, deadlines, and regulatory updates.
  • Experience working with or within nonprofit organizations is strongly preferred.
  • Familiarity with nonprofit board governance and fiduciary responsibilities is a plus.

Working Conditions - Hybrid in or near Portland, OR (Flexible Work from Home Model)

  • Requires occasional lifting and exertion for short periods
  • Readiness to work occasional long hours, weekends
  • Able to travel between worksites and/or meeting locations within the state

Supervisory Responsibilities

This position is a confidential position that will engage in personnel matters. This position is not immediately responsible for supervising other staff members.
