Robert Half is seeking a corporate paralegal to support an in-house legal department with contracts, compliance, and corporate governance matters. This role is located onsite in Memphis, TN.
Key Responsibilities
- Drafting, reviewing, and managing contracts: Prepare, review, and revise contractual documents, including NDAs, vendor agreements, and other corporate contracts, ensuring accuracy and compliance with applicable laws and company policies.
- KYC compliance management: Assist in developing, implementing, and managing policies and procedures to ensure the company remains compliant with federal, state, and local regulations.
- Corporate governance support: Work closely with the legal team to support board meetings, draft corporate resolutions, maintain corporate records, and manage filings with regulatory authorities.
- Legal research: Conduct legal research to ensure compliance with evolving laws and regulations that impact the company's operations.
- Administrative support: Maintain, update, and organize legal files and databases, providing administrative assistance to the legal and compliance teams as needed.
Qualifications
- Education: Bachelor’s degree and paralegal certification preferred, though equivalent experience will be considered.
- Experience: 3 years of experience as a corporate paralegal, focusing on contract drafting, compliance, and corporate governance.
- Knowledge: Familiarity with corporate governance practices, compliance programs, and contract lifecycle management.
- Software: Experience with legal research platforms (e.g., Westlaw, LexisNexis) and document management tools is a plus.
- Skills: Excellent attention to detail, strong organizational skills, and the ability to manage multiple priorities in a fast-paced environment.
