Seeking an experienced Corporate Paralegal with a background in a large law firm setting to support our corporate legal team. The ideal candidate will have a strong understanding of corporate governance, mergers & acquisitions, securities law, and general corporate matters. This role involves providing high-level assistance in the preparation and filing of corporate documents, managing complex transactions, and coordinating with clients and internal teams.
- Assist in the preparation and filing of corporate documents, including incorporation papers, organizational documents, and SEC filings.
- Draft and review corporate resolutions, minutes, and other governance documents.
- Support mergers, acquisitions, and corporate transactions, including due diligence and closing process.
- Manage corporate records and ensure compliance with federal, state, and local regulations.
- Assist attorneys with client communications, document management, and preparing materials for board meetings and shareholder meetings.
- Conduct legal research and maintain up-to-date knowledge of corporate governance and regulatory matters.
- 3-4 years of experience as a corporate paralegal in a large law firm or corporate environment.
- Strong knowledge of corporate governance, M& A, securities law, and general corporate legal matters.
- Proficient with legal research, document management, and e-filing systems.
- Excellent communication, organizational, and time-management skills.
