A leading independent power producer specializing in distributed generation (DG) solar energy and storage projects is seeking an experienced Transactional Attorney to support its in-house legal team. This role will focus on preparing and negotiating agreements related to the acquisition and development of DG-scale solar projects across the U.S.
Essential Duties and Responsibilities
- Provide legal support for distributed solar acquisition and development transactions, including community solar, C&I/behind-the-meter, virtual net-metered, and AC/DC-coupled storage.
- Review, draft, and negotiate key agreements such as MIPA/APAs, PPAs & VPPAs, term sheets, letters of intent, and other contracts essential to project transactions.
- Serve as lead attorney for acquisition and development transactions.
- Prepare and negotiate term sheets and LOIs for asset acquisitions.
- Offer practical legal guidance on commercial and legal matters related to solar energy project acquisitions and development.
- Provide legal support to transaction, business development, and deal origination teams.
- Advise senior leadership on risk management and contractual obligations.
- Manage relationships with external transactional counsel.
- Collaborate with internal teams to ensure consistency and clarity in acquisition transactions.
- Engage directly with developers, sellers, and offtake counterparties.
- Report directly to the General Counsel and Chief Development Officer.
Minimum Education, Skills, and Qualifications
- Juris Doctor (JD) from an accredited law school.
- At least 5 years of experience in a law firm or in-house role focusing on renewable energy transactions, preferably in solar.
- Strong working experience with MIPA/APAs required; PPA experience is a plus.
- Ability to manage multiple transactions simultaneously and work closely with cross-functional internal teams.
- Excellent interpersonal, communication, negotiation, and legal leadership skills.
- Passion for clean energy and commitment to sustainability.
