Job Summary
RowCal is seeking an experienced General Counsel to oversee all legal matters related to the company’s operations and growth in the HOA property management sector. The General Counsel will provide strategic legal advice to the executive team, ensure compliance with applicable laws and regulations, manage risk, oversee acquisitions, and handle contractual agreements. This role will also play a pivotal part in partnering with the HR team to proactively identify and mitigate employment-related risks.
Role and Responsibilities
Legal Compliance:
- Ensure the company's operations comply with federal, state, and local laws, particularly those related to property management, rental management, and homeowners associations.
Licensing and Regulatory Compliance:
- Oversee and ensure that RowCal holds and maintains all necessary state and federal licenses required for its operations in each jurisdiction where the company operates.
- Monitor changes in licensing requirements and implement processes to secure timely renewals and updates.
HR Partnership:
- Collaborate with HR to identify, assess, and mitigate employment-related risks, ensuring compliance with employment laws and regulations across jurisdictions.
- Advise on sensitive employee relations matters, including terminations, harassment, discrimination, wage and hour compliance, and accommodations under the ADA.
- Review and update employee handbooks, policies, and procedures to align with current legal standards and best practices.
Contract Management:
- Draft, review, and negotiate a variety of contracts, including client agreements, vendor contracts, and partnership agreements.
- Create internal processes to track and manage all outstanding service agreements.
Risk Management:
- Identify potential legal risks and develop strategies to mitigate them, safeguarding the company's interests
Litigation Management:
- Oversee any litigation matters, working closely with external counsel as necessary.
Corporate Governance:
- Advise the executive team and board of directors on corporate governance matters, ensuring adherence to best practices.
Policy Development:
- Develop and implement internal policies and procedures to promote legal compliance and risk management.
Employee Training:
- Conduct training sessions for staff on legal topics relevant to their roles, fostering a culture of compliance within the organization.
Acquisition Management:
- Lead the legal aspects of RowCal's acquisition strategy, including:
- Conducting due diligence to assess risks and opportunities of potential acquisitions.
- Negotiating and drafting acquisition agreements.
- Collaborating with cross-functional teams to integrate acquired companies into RowCal’s operations effectively.
Qualifications and Education Requirements
- Education: Juris Doctor (JD) degree from an accredited law school.
- Experience:
- Minimum of 15 years of legal experience, with a strong background in real estate, property management, or HOA law.
- Expertise in managing licensing and regulatory compliance across multiple jurisdictions.
- Demonstrated experience in mergers and acquisitions, particularly in the property management sector, is highly preferred.
- Prior experience as a General Counsel or in a senior legal position within a similar industry is advantageous.
- Licensure: Active license to practice law in the state of Minnesota.
- Skills: Strong analytical and problem-solving abilities, excellent communication and negotiation skills, and the ability to work effectively with senior management and external parties.
- Knowledge: In-depth understanding of laws and regulations related to property management, homeowners associations, licensing requirements, and mergers and acquisitions.
Physical Requirements
- Ability to work on a computer and stare at a monitor screen for long periods of time.
