We are currently seeking a seasoned Business Law attorney with 4-7 years of experience to address the complex needs of our diverse client base, which ranges from startups to established corporations.

Job Description

As a Corporate Associate at Rupp Pfalzgraf, you will counsel clients on a broad array of legal matters including corporate transactions, contract drafting and negotiation, business formation, and compliance issues. Your expertise will be pivotal in navigating the challenges our clients face in a dynamic business environment.

Key Responsibilities

• Advise and represent clients in the formation of business entities and general business matters.
• Draft, review, and negotiate a wide range of legal documents related to corporate transactions including shareholder agreements, operating agreements, partnership agreements, SaaS agreements, service contracts, buy-sell agreements, etc.
• Handle mergers and acquisitions, including due diligence, drafting transactional documents, and overseeing closing procedures.
• Negotiate and draft commercial contracts across a wide spectrum of firm clients, as well as assist on corporate compliance matters.
• Represent the interests of businesses in disputes and litigation, working closely with our litigation department.
• Experience with cybersecurity laws and regulations is preferred.
• Stay abreast of changes in laws that affect business clients, particularly those based in New York.
• Develop strategies for risk management and compliance protocols.
• Foster and maintain client relationships, ensuring that all legal assistance is tailored to individual client needs.
  
  

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Admitted to practice law in the State of New York.
• 4-7 years of experience in business law, with a strong foundation in corporate transactions.
• Proven track record of individual initiative and successful handling of complex legal matters.
• Excellent analytical, negotiation, and communication skills.
• Detail-oriented with an ability to work autonomously and within a team.
• Proficiency in legal research platforms such as Westlaw or LexisNexis.

Salary Range

$100,000 – $150,000 per year based on skillset and experience.
