The Senior Counsel – Commercial Transactions, Corporate Governance, and Compliance will be responsible for providing proactive and actionable legal guidance on various matters, including corporate, transactional, sourcing, litigation, corporate governance, compliance, labor and employment, regulatory, and other matters.
Key Responsibilities:
- Work collaboratively with, support informed decision-making by, and provide advice to internal stakeholders at all levels of the organization in a fast-paced environment.
- Draft, review, and negotiate a variety of commercial agreements, including teaming, project, design-build, financing, joint venture, merger, asset/share purchase, and subcontracting agreements.
- Develop and maintain standard contract templates and playbooks.
- Interpret and provide strategic legal advice on policies, handbooks, agreements, and other documents, including assessing obligations, risks, and commercial implications.
- Offer creative solutions to help resolve business and legal issues and coordinate advice from subject-matter experts.
- Promote, educate, and advise on compliance with all applicable laws, regulations, and policies, including government contracting and industry standards.
- Collaborate with cross-functional teams to develop, monitor, and implement compliance programs and training.
- Establish and maintain relationships, credibility, and trust with colleagues, stakeholders, legal team members, and third parties.
- Support all aspects of corporate governance legal work, including preparing resolutions and materials for board and shareholder meetings, such as consents, minutes, agreements, and other documents.
- Support and lead, as appropriate, process improvement and other projects.
- Perform other tasks and demonstrate a passion to learn new areas of the law and business, as assigned from time to time by the EVP, Chief Legal Officer and Chief Compliance Officer.
Education:
- Juris Doctor (JD) from an accredited law school.
- Active membership in a state bar and, if not PA, must become licensed in PA (e.g., limited in-house license
- Minimum of six years in a large law firm and/or in-house legal department, including a focus on contract negotiation, transactional, corporate governance and compliance work.
- Ability to provide clear, actionable legal advice.
- Outstanding communication (written and oral), analytical, and interpersonal skills.
- Commitment to teamwork, collaboration, and professionalism.
- Ability to manage a significant volume of matters in a high-pressure environment and frequently reprioritize with good judgment and minimal direction.
- Proactive, self-starter, with strong business acumen and sense of urgency and eagerness to take on new assignments.
- Creative problem-solving skills and ability to propose multiple possible solutions consistent with overall business plans and strategies.
- This permanent role is based in Pittsburgh PA (relocation may be provided) in an office environment with adequate lighting and ventilation, and a normal range of temperature and noise level.
- Work assignments are diversified. Interpret, comprehend, and apply complex material, data, and instruction – prepare, provide, and convey diversified information.
- Minimal physical effort required. Work is mostly sedentary but does require walking, standing, bending, reaching, lifting, or carrying objects that typically with less than 10 lbs. (e.g., papers, books, files and small parts, etc.). Moderate dexterity – regular application of basic skills (calculator, keyboard, hand tools, eye/hand coordination.
- Work has periodic stress due to frequent goals and deadlines, and responsibility associated with the role.
